SE NÃO ACEITAR OS TERMOS DO ACORDO, ELIMINE DE IMEDIATO TODOS OS FICHEIROS DE INSTALAÇÃO OU DEVOLVA O PACOTE COMPLETO AO LOCAL ONDE FOI ADQUIRIDO.

ACORDO DE LICENCIAMENTO DE SOFTWARE GRAPHISOFT

1. LICENÇA

1.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

A Graphisoft SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungria https://www.graphisoft.com ("Graphisoft") licencia-lhe este Software a Si, individualmente ou como representante e em nome do Seu empregador (colectivamente referido como "Você") apenas sob a condição de que Você aceite todos os termos contidos neste Acordo de Licenciamento de Software ("Acordo").

Ao aceitar os termos deste Acordo de Licença de Software, Você está expressamente a declarar e a confirmar que tem todo o poder e capacidade para se representar a Si, o seu empregador e/ou a entidade em nome de quem Você está agindo (se houver). Se esta declaração se provar ser falsa, Você deve ser responsável e responder pessoalmente por todas as obrigações decorrentes do Acordo.

Este Acordo constitui uma licença limitada, não exclusiva, não transferível, não sublicenciável para Você utilizar o Software incluído e a documentação associada, juntamente com os "upgrades", actualizações, novas versões e correcções de erros fornecidas a Si pela Graphisoft (em conjunto referidas como o "Software"). O Software é licenciado, não vendido, a Si exclusivamente para Seu próprio uso sob os termos e condições deste Acordo.

O Software é propriedade da Graphisoft e protegido pelas leis aplicáveis. Na máxima extensão permitida pelas leis aplicáveis, a Graphisoft reserva todos os direitos ao Software, não expressamente outorgados abaixo, e a qualquer reprodução do Software, incluindo a sua documentação, logos, marcas registadas, ícones e interface, em todo ou em parte. Se copiar ou utilizar todo ou qualquer parte do Software sem participar neste Contrato ou obter permissão escrita da Graphisoft, está a violar os direitos de autor da Graphisoft juntamente com outra propriedade intelectual e outras leis, e será responsável perante a Graphisoft e seus representantes pelos prejuízos, e a sua conduta pode, também, ser sujeita às leis criminais aplicáveis.

Para utilizar a Sua cópia do software (independentemente de ter uma CHAVE DE SOFTWARE ou de HARDWARE), Você toma conhecimento de que necessita de ter um Graphisoft ID válido e autenticar regularmente a Sua cópia do software, conforme exigido pela Graphisoft durante a vigência do presente Acordo, a ser obtido na Graphisoft em https://graphisoftid.graphisoft.com .

A Graphisoft pode oferecer a oportunidade de descarregar e experimentar atualizações que estejam no estado "pré-visualização" (não finalizado), mas isto fica ao Seu critério e, até ao limite máximo permitido pela legislação aplicável, a Graphisoft não assume qualquer responsabilidade pelos danos que a atualização possa causar.

DISPOSIÇÕES ESPECIAIS APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

VOCÊ PODE UTILIZAR A SUA CÓPIA DO SOFTWARE OU NO MODO COMERCIAL, EM MODO EXPERIMENTAL, EM MODO EDUCACIONAL OU EM MODO DEMO.

VOCÊ TEM DIREITO A UTILIZAR O MODO COMERCIAL APENAS SE COMPROU E CONECTOU A CHAVE DE PROTECÇÃO BASEADA EM HARDWARE (CHAVE DE HARDWARE) AO SEU COMPUTADOR OU INSTALOU A CHAVE DE PROTECÇÃO BASEADA EM SOFTWARE (CHAVE DE SOFTWARE) NO SEU COMPUTADOR. O SOFTWARE PODE SER UTILIZADO EM MODO EXPERIMENTAL POR UM PERÍODO LIMITADO DE TEMPO SE TIVER UM NÚMERO DE SÉRIE EXPERIMENTAL.

PODE UTILIZAR O MODO EDUCACIONAL EXCLUSIVAMENTE COM A FINALIDADE DE INSTRUÇÃO OU PARA APRENDIZAGEM PESSOAL, E APENAS SE E DEPOIS TIVER RECEBIDO UM NÚMERO DE SÉRIE EDUCACIONAL ADEQUADO DA GRAPHISOFT OU DOS SEUS PARCEIROS.

SE NÃO TIVER TODAS AS AUTORIZAÇÕES CORRESPONDENTES (P.EX CHAVE DE HARDWARE, CHAVE DE SOFTWARE OU NÚMERO DE SÉRIE APROPRIADO) PARA O USO DO SOFTWARE, PODE USAR O SOFTWARE APENAS EM MODO DEMO.

1.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS ADD-ONS DO SOFTWARE:

PODE UTILIZAR OS ADD-ONS DO SOFTWARE EXCLUSIVAMENTE EM CONJUNTO COM UMA APLICAÇÃO ANFITRIÃO (P. EX. Archicad, ETC.). DEPENDENDO DO MODO DE USO ACTUAL DA APLICAÇÃO ANFITRIÃO, PODE UTILIZAR A SUA CÓPIA DO SOFTWARE EM MODO COMERCIAL, MODO EXPERIMENTAL, MODO EDUCACIONAL OU MODO DEMO. VOCÊ TEM DIREITO A UTILIZAR O MODO COMERCIAL APENAS SE ADQUIRIU E APLICOU A RESPECTIVA LICENÇA DE SOFTWARE PARA A SUA CHAVE DE PROTECÇÃO BASEADA EM HARDWARE (CHAVE DE HARDWARE) OU PARA A SUA CHAVE DE PROTECÇÃO BASEADA EM SOFTWARE (CHAVE DE SOFTWARE).

1.3. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS GOODIES DO SOFTWARE:

PODE UTILIZAR OS GOODIES DO SOFTWARE EXCLUSIVAMENTE EM CONJUNTO COM UMA APLICAÇÃO ANFITRIÃO (P. EX. Archicad, ETC.).

2. COMPONENTES DE SERVIÇOS BASEADOS E NÃO BASEADOS NA INTERNET

2.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* O Software pode conter componentes que permitem e facilitam a utilização de determinados serviços baseados e não-baseados na internet. Você reconhece e concorda que a Graphisoft pode verificar automaticamente o modo de operação, a versão do Software e/ou os seus componentes, o número de série da sua CHAVE DE HARDWARE (se houver), o número de série da sua CHAVE DE SOFTWARE (se houver) e o número de série Educacional e Experimental (se houver) e os serviços relacionados que Você está a utilizar em ordem a verificar que está a utilizar o Software de acordo com a sua finalidade e que pode fornecer actualizações, correcções ou serviços adicionais para o Software a fim de promover o funcionamento legal e melhoria do mesmo a critério exclusivo da Graphisoft. A Graphisoft não será responsável por qualquer perda de dados ou pelo mau funcionamento do Software que ocorram em conexão com a actuação da Graphisoft neste parágrafo.

* Reconhece que é proibida a utilização de Chaves de SOFTWARE ou de HARDWARE que constem da lista Negra ou de chaves de SOFTWARE que constem da lista Cinzenta, bem como da(s) licença(s) executada(s) nas mesmas. A Graphisoft tem o direito de revogar/invalidar a licença em execução na Chave de SOFTWARE ou HARDWARE constante da lista Negra e na Chave de SOFTWARE constante da lista Cinzenta. A Graphisoft tem também o direito de eliminar todo o conteúdo da Chave de SOFTWARE ou de HARDWARE constante da lista Negra e da Chave de SOFTWARE constante da lista Cinzenta. O seu direito de utilização da licença executada na Chave de SOFTWARE ou HARDWARE constante da lista NEGRA ou na Chave de SOFTWARE constante da lista Cinzenta termina automaticamente quando a chave é registada pela Graphisoft como constante da lista Negra ou Cinzenta. A Graphisoft notifica-o sem demora injustificada sobre a eliminação da licença da chave.

Chave de SOFTWARE ou HARDWARE constante da lista Negra significa que é proibida a utilização da chave de proteção para qualquer fim. A Graphisoft regista chaves de proteção com estado na lista negra nos sistemas da Graphisoft com base numa notificação efetuada à Graphisoft como reembolsada, roubada, destruída, danificada ou perdida. Se for proprietário de uma chave constante da lista negra e desejar mais informações, contacte o seu Parceiro Graphisoft ou terceiro a quem comprou a Sua licença e chave de proteção.

A Chave de SOFTWARE constante da lista cinzenta significa uma chave de proteção, onde a licença em execução é ativada no Seu computador, mas no sistema da Graphisoft a licença ainda está listada como disponível para ativação devido a problemas de comunicação do sistema que ocorrem no processo de ativação da licença.

* O Software pode conter medidas tecnológicas que são concebidas para prevenir e detectar o uso não-licenciado do Software. Utilizando o Software Você, também, instalará medidas de protecção técnica (a seguir denominadas "TPM") utilizadas pela Graphisoft ou pelos seus fornecedores estrangeiros para coligir, transmitir e utilizar para fins de aplicação da lei de dados técnicos do Seu computador (a seguir denominados "Technical Data") em ordem a prevenir e detectar o uso não-licenciado do Software e a fazer cumprir os direitos de propriedade intelectual da Graphisoft.

* Você aceita expressamente que a Graphisoft ou o seu representante utilize TPM para confirmar que Você tem uma cópia legalmente licenciada do Software e que Você utiliza o Software de acordo com os termos e condições deste Acordo.

Se a Graphisoft verificar que Você não está utilizar uma cópia licenciada do Software, que a Sua utilização do Software infringe os termos e condições deste Acordo, isto qualifica como violação material deste Acordo, que dá o direito à Graphisoft de denunciar este Acordo com efeito imediato, sem aviso prévio e Você deve ser obrigado a compensar a Graphisoft pelos seus prejuízos e despesas ocorrendo em conexão com a utilização não legal e a violação deste Acordo e a Graphisoft terá o direito de fazer valer outros direitos e reivindicações sob as leis que estão em vigor, além disso, você não terá permissão para instalar actualizações futuras do Software.

2.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL DO SOFTWARE:

* Você tem conhecimento que - no caso do Modo Comercial do software Graphisoft deve de vez em quando, por diferentes razões (por exemplo, relatou ter sido roubado, chave destruída ou substituída), verificar se a chave de Hardware ou Software que está a correr a Sua cópia do Software é válida para utilização comercial.

2.3. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS ADD-ONS DO SOFTWARE:

* Você tem conhecimento que Graphisoft deve de vez em quando, por diferentes razões (por exemplo, relatou ter sido roubado, chave destruída ou substituída), verificar se a chave de Hardware ou Software que está a correr a Sua cópia do Software é válida para utilização comercial.

3. INFORMAÇÃO E CONSENTIMENTO DE UTILIZAÇÃO DE DADOS PESSOAIS

* De acordo com a legislação aplicável em vigor relativa à protecção de dados pessoais, ao celebrar este Acordo, Você aceita que os Seus dados pessoais (incluindo aqueles Dados Técnicos recolhidos e utilizados pelo sistema TPM) serão recolhidos e tratados pela Graphisoft com os objectivos relacionados com a execução deste Acordo, incluindo o cumprimento das Suas obrigações, tais como os relacionados com os direitos de propriedade intelectual da Graphisoft.

* Em linha com o acima, em particular o tratamento de dados seguinte tem lugar sob os respectivos termos e condições:

A. Relatório de falha

O objectivo do relatório de problema é suportar a identificação e melhoria dos defeitos do software. O relatório de problema é enviado pelo Software à Graphisoft sempre que o Software identifica uma operação maliciosa ou um erro fatal causando o colapso total do Software.
Se Você dá consentimento à Graphisoft que o relatório do problema inclua os dados pessoais indicados no parágrafo cinco abaixo com o objectivo de suporte técnico potencial que possa ser disponibilizado pela Graphisoft a Si como utilizador final do Software, de outro modo o relatório do problema é pseudónimo. Pseudónimo significa que não é possível identificá-Lo, a não ser que Você forneça os dados de identificação (tais como ID do hardware, ID do Utilizador e ID do Projecto) à Graphisoft com os quais a Graphisoft O pode identificar.
Ao dar o Seu consentimento, os relatórios de problemas gerados são enviados continuamente por 30 dias sequencialmente à Graphisoft incluindo os Seus dados pessoais indicados no parágrafo cinco abaixo. O consentimento pode ser revogado por Si em qualquer altura durante o período de 30 dias.
A revogação do consentimento interrompe a inclusão dos dados pessoais e o relatório de problemas é de novo pseudonomizado, mas não significa que os dados pessoais enviados previamente sejam apagados. Para apagar esses dados pessoais processados, Você tem de contactar [email protected] requerendo o apagamento.
Dados pessoais processados: o Software colige e envia para a Graphisoft certos dados do hardware que estão a correr a licença (tais como informação de componente de hardware, tipo de chave de protecção e identificador), a lista dos componentes Archicad e as suas versões, aplicações que corriam na altura e os dados técnicos relacionados com o problema do Software (por exemplo a acção operacional quando o defeito ocorreu, conteúdo da memória, processos do sistema a correr, variáveis do sistema, versões de componentes do sistema, tempo do sistema, nome do computador, nome do login do utilizador), qualquer informação pessoal e de contacto que Você voluntariamente partilha quando envia o relatório de problema.
Base legal do processamento de dados: Se Você é uma pessoa natural, o consentimento sob o ponto a. do Artigo 6(1) GDPR; Se Você é uma entidade, o legítimo interesse da Graphisoft sob o ponto f. do Artigo 6(1) GDPR.
Duração do processamento de dados: enquanto a Graphisoft disponibiliza suporte técnico para a respectiva versão do Archicad, mas no máximo pelo período de tempo de 5 anos a partir da data da colecta dos dados.

B. Programa de Melhoramento da Experiência do Cliente ("CEIP")

O Software colige dados no tempo, frequência de uso de cada função do Software Archicad; hardware, software e informação do produto e envia-os para a Graphisoft.
O relatório é pseudónimo, significando que não é possível identificá-Lo, a não ser que Você forneça os dados de identificação (tais como ID do hardware, ID do Utilizador e ID do Projecto) à Graphisoft com os quais a Graphisoft O pode identificar.
Objectivo do processamento de dados: reunir feedback em como Você utiliza o Software, as suas funcionalidades, novas funcionalidades, defeitos em ordem a melhorar o software e criar soluções para problemas comuns.
Una vez activada a sua operação, o CEIP corre automaticamente em background. Pode interromper a sua operação em qualquer altura desactivando a função.
Base legal do processamento de dados: Se Você é uma pessoa natural, o consentimento sob o ponto a. do Artigo 6(1) GDPR; Se Você é uma entidade, o legítimo interesse da Graphisoft sob o ponto f. do Artigo 6(1) GDPR.
Duração do processamento de dados: enquanto a Graphisoft disponibiliza suporte técnico para a respectiva versão do Archicad, mas no máximo pelo período de tempo de 5 anos a partir da data da colecta dos dados.

C. Verificação da validade do SSA/Forward se Você é uma pessoa natural

O software colige e envia à Graphisoft certos dados do Software (tais como a versão e a língua do Software), o tipo de chave de protecção e o identificador.
O objectivo do processamento de dados é identificar a elegibilidade ao conteúdo dependente do SSA/Forward.
Base legal do processamento de dados: o processamento é necessário para o desempenho dum contrato para o qual o sujeito dos dados é parte (ponto b. do Artigo 6(1) GDPR).
Duração do processamento de dados: 1 ano a partir da data de fim do SSA/Forward.

D. Verificação do estado do Software se Você é uma pessoa natural

O software colige e envia à Graphisoft certos dados do Software (tais como a versão, localização e modo de operação do Software), tipo de chave de protecção e identificador.
Objetivo do processamento de dados: identificar atualizações de Software compatíveis disponíveis e verificar se a chave de proteção não consta da lista Negra ou Cinzenta.
Base legal do processamento de dados: o processamento é necessário para o desempenho dum contrato para o qual o sujeito dos dados é parte (ponto b. do Artigo 6(1) GDPR). Se Você é uma entidade, então nenhum dado pessoal é coligido.
Duração do processamento de dados: o termo da Sua licença.

E. BIMcloud

BIMcloud trata os seguintes dados: ID Graphisoft da pessoa que activa a BIMcloud, dados do sistema operativo (tais como, nome do SO, "build", arquitectura, plataforma) ID de BIMcloud Server gerado na instalação, tempo de activação, versão BIMcloud, tempo de colecção de dados, número de utilizadores BIMcloud, número de Projectos BIMcloud, número de Bibliotecas BIMcloud, número de conexões LDAP, tempo da última actividade de servidor, número de licenças, número de série da chave de hardware, modo de permissão.
Objectivo do tratamento de dados: melhoria do software e disponibilização de informação em funcionalidades e serviços relevantes.
Base legal do processamento de dados: Se Você é uma pessoa natural, o consentimento sob o ponto a. do Artigo 6(1) GDPR; Se Você é uma entidade, o legítimo interesse da Graphisoft sob o ponto f. do Artigo 6(1) GDPR.
Duração do processamento de dados: Graphisoft apaga todos os dados dentro de 3 anos seguintes ao fim da subscrição BIMcloud.

F. BIMcloud SaaS

Para utilizar BIMcloud SaaS pelo menos um Graphisoft ID tem de ser registado (administrador registado) com o qual utilizadores adicionais podem ser criados (utilizador registado).
A BIMcloud SaaS colige e armazena os seguintes dados dos utilizadores registados do Utilizador Final: nome de utilizador, primeiro nome, último nome, endereço de email, fotografia. Todos os ficheiros de projectos Archicad carregados por um utilizador registado do Utilizador Final juntamente com qualquer e todas informações pessoais e não-pessoais disponíveis nos ficheiros carregados serão partilhados com todos os outros utilizadores registados do Utilizador Final. É o Utilizador Final que permanece totalmente responsável por todo o conteúdo e compartilhamento e por quaisquer autorizações concedidas aos seus utilizadores registados. A Graphisoft é o único processador de dados e o Utilizador Final é o controlador de dados para todos esses dados.
os servidores virtuais a correr BIMcloud SaaS são activados na Google Cloud e operados pela Google. Os serviços de nome do domínio são fornecidos pela Amazon. Os servidores físicos estão localizados dentro da Comunidade Europeia e, também, nos Estados Unidos.
A informação coligida e o conteúdo carregado pelo Utilizador Final, o seu administrador registado e todos os outros utilizadores registados pelo Utilizador Final, quando utilizando a BIMcloud SaaS são armazenados nos servidores utilizados pela Graphisoft localizados dentro da Comunidade Europeia, nos Estados Unidos e, também, na Google Cloud como descrito acima. A Graphisoft faz os seus melhores esforços para armazenar os dados vinculados ao Utilizador Final em servidores localizados no país identificado durante a compra da licença baseado no código do parceiro. O objectivo da selecção é disponibilizar o serviço a Si na mais elevada velocidade possível.
A base legal do processamento de dados: Se Você é uma pessoa natural, a execução do contrato sob o ponto b. do Artigo 6(1) GDPR; Se Você é uma entidade, o legítimo interesse da Graphisoft sob o ponto f. do Artigo 6(1) GDPR.
Quando expiram os acordos BIMcloud SaaS, a Graphisoft apaga todos os dados dos seus servidores dentro de um mês, enquanto os dados armazenados na Google Cloud são apagados dentro de 2 meses depois da expiração.

G. Pacote de Suporte Archicad

O Package de Suporte é uma ferramenta que é necessária para o Suporte Técnico da Graphisoft eficientemente investigar as questões que Você pode experienciar quando utiliza o Archicad, embora qualquer suporte técnico actual esteja baseado na Sua elegibilidade (tal como, por exemplo, Software Service Agreement - "SSA" ou Graphisoft Forward - "Forward"). O Package de Suporte pode ser corrido por Si manualmente, que packages contêm dados técnicos e não-técnicos a partir do Seu servidor onde o BIMcloud corre e/ou o computador do cliente no qual o Archicad corre. Uma vez o package criado, Você necessita de o submeter à Graphisoft da maneira que tenha sido recomendada pelo suporte do representante da Graphisoft.
Os dados coligidos podem, também, incluir dados pessoais, como segue:
se Você corre a opção "logs from server", então contém a base de dados do servidor, a qual pode incluir todos os nomes de utilizadores, endereços de email, nomes de projecto, IDs de hardware e endereços de IP/domínio, ou mesmo passwords encriptadas aplicadas a Si.
se Você correr a opção "logs from client", então pode conter as mesmas categorias de dados como mencionado em "logs from server" mas a partir do lado do cliente.
Seja qual for a opção que seleccione, o Package de Suporte inclui os ficheiros de projecto que podem , também, conter dados pessoais disponíveis dentro (p. ex. nome de projecto, nome de cliente e endereço), seja o que for tenha lá registado. Como a Graphisoft é incapaz de filtrar, limitar ou controlar a extensão desses dados pessoais, a Graphisoft não é passível de aceder a tais dados. Utilizando o Conteúdo do Package, a opção Pessoal pode excluir o conteúdo do Projecto do package a ser criado.
A base legal do processamento de dados: A Graphisoft é o processador de dados de acordo com o Artigo 28 do GDPR e a Graphisoft não utiliza quaisquer dados pessoais que podem ter sido tornados disponíveis para a Graphisoft.
Duração do processamento de dados: enquanto a Graphisoft disponibilizar suporte técnico para a respectiva versão do Archicad, mas no máximo no período de 5 anos a partir da data em que coligiu os dados.

* Você reconhece expressamente que os seus dados pessoais tratados no âmbito deste Acordo serão tratados, manualmente ou com a ajuda de meios electrónicos ou automatizados, de forma a minimizar, por meio de medidas adequadas de segurança, o risco de acesso não autorizado ou a divulgação de seus dados. Os seus dados pessoais serão tratados durante a vigência deste Acordo em relação aos seus objectivos, também para impedir o uso não licenciado do Software. Para os propósitos acima, os seus dados pessoais podem ser divulgados a terceiros (provedores de serviços, consultores, colaboradores, uma lista dos quais está disponível na Política de Privacidade), para outros países do EEE ou terceiros, de acordo com o âmbito deste Acordo e de qualquer lei aplicável. No caso de quaisquer transferências de dados para países terceiros, a Graphisoft utiliza sempre salvaguardas adequadas (como as cláusulas contratuais padrão adoptadas pela Comissão Europeia, o Escudo de Protecção da Privacidade UE-EUA e instrumentos similares) para garantir a protecção adequada dos dados pessoais. A Graphisoft reserva-se o direito de divulgar os Seus dados pessoais à autoridade competente, se requerido, para fazer valer ou defender seus direitos ou interesses legítimos perante tribunais civis e criminais, órgãos reguladores ou para executar uma ordem judicial ou regulatória competente. Como Utilizador Final do Produto, Você tem o direito de aceder aos dados pessoais tratados pela Graphisoft, para obter a actualização ou rectificação de tais dados. * Se aplicável, você assegura e garante que o Seu funcionário foi devidamente informado sobre a recolha, processamento, transferência e uso das suas informações pessoais pela Graphisoft, conforme acima, e indemnizará e isentará a Graphisoft de quaisquer reclamações de terceiros relacionadas.

* As regras pormenorizadas relativas aos vários direitos e obrigações relacionados com a recolha, utilização, transferência, manuseamento, tratamento, incluindo os direitos de acesso e os direitos de recurso da Graphisoft à reparação de danos são definidas na Política de Privacidade que constitui uma parte inseparável deste Acordo disponível em https://graphisoft.com/legal/privacy-policy .

4. PARÂMETROS DA LICENÇA

4.1. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

A licença concedida por este Acordo está sujeita aos Parâmetros da Licença definidos em seguida:

A: Modo Comercial

* O Software consiste de um programa de computador descarregável a partir de um website ou entregue em um ou vários DVDs, uma CHAVE DE HARDWARE ou uma chave de autorização mecessária para a instalação da CHAVE DE SOFTWARE e acompanhado de documentação e embalagem.

* O Modo Comercial pode ser limitada no tempo ou uma versão não limitada como determinado pelos termos e condições da sua compra do Produto.

* Pode utilizar o Software num único computador de cada vez.

B: Modo Experimental

* O Software consiste de um programa de computador descarregável a partir de um website ou fornecido em um ou em vários DVDs.

* O Software está equipado com uma função de desactivação controlada por tempo ligada a um número de série. Está autorizado a utilizar o Software por trinta (30) dias começando a partir da data na qual instala o Software.

* Só é permitido utilizar este Software para fins Não-Comerciais. "Fins Não-Comerciais" significa que o Software será utilizado apenas para fins educativos ou de investigação. "Fins Não-Comerciais" exclui, sem limitação, qualquer uso do Software para, como parte de, ou em qualquer ligação com um produto (incluindo software) ou serviço que seja vendido, transferido, posto à venda, atribuído, licenciado, objecto de leasing, emprestado ou alugado.

* Pode utilizar o Software num único computador de cada vez.

* Para actualizar esta cópia para uma licença comercial, contacte por favor o Parceiro local ou a Graphisoft.

C: Modo Educacional

* O Software consiste de um programa de computador descarregável a partir de um website ou fornecido em um ou em vários DVDs.

* O Software está equipado com uma função de desactivação controlada por tempo ligada a um número de série. É-lhe permitida a utilização do Software pelo período de um mês, a partir da data da sua instalação. A Graphisoft, por opção própria, pode decidir enviar-lhe um número de série que lhe permita utilizar o Software adicionalmente por mais um ano ("Período de Licença"). No último dia do Período de Licença, a licença expira e o uso do Software será desactivado automaticamente sem qualquer aviso prévio.

* Este é um modo educacional do Software permitido a ser utilizado apenas por estudantes durante os seus estudos de graduação, membros de faculdade ou pessoal de uma instituição educacional. Um estudante em graduação é definido como um estudante que está actualmente inscrito numa instituição de educação superior/universitária. Este modo é apenas para ser utilizado para estudo/instrução - este modo é estritamente NÃO para finalidade comercial, profissional ou lucrativa. Ao aceitar os termos deste Acordo de Licença de Software, Você expressamente declara e confirma que pessoalmente se compromete com os termos e condições deste Acordo, o qual lhe dá o direito a celebrar este Acordo em condições e termos vantajosos proporcionados pela Graphisoft exclusivamente para estudantes a realizar os seus estudos de graduação, membros de faculdade ou pessoal duma instituição educacional. Se esta declaração se provar ser falsa, Você deve ser responsável e responder pessoalmente por todas as obrigações decorrentes do Acordo.

* Possui uma licença especial, não exclusiva, do Software com limitação de algumas funções, para ser utilizada exclusivamente para fins didáticos pelo tempo atribuído ao número de série, mas no máximo pelo tempo de matrícula ou em que está empregado na instituição de ensino.

* Pode utilizar o Software em mais computadores com finalidades educacional, académica, investigação.

* Para actualizar esta cópia para uma licença comercial, contacte por favor o Parceiro local ou a Graphisoft.

D: Modo Demo

* Pode utilizar o Modo Demo se não possui uma CHAVE DE HARDWARE ou uma CHAVE DE SOFTWARE requerida para uso em Modo Comercial, ou depois de expirar o número de série requerido para uso em Modo Experimental ou Educacional.

* Em Modo Demo, Você pode explorar as funcionalidades do Software sem poder utilizar as funções Copiar, Guardar e Teamwork.

4.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS ADD-ONS DO SOFTWARE:

A: Modo Comercial

* O Software consiste de um programa de computador descarregável a partir de um website ou entregue em um ou vários DVDs, a respectiva licença de software para CHAVE DE HARDWARE ou CHAVE DE SOFTWARE, e acompanhando documentação e embalagem.

* O Modo Comercial pode ser limitada no tempo ou uma versão não limitada como determinado pelos termos e condições da sua compra do Produto.

* Pode utilizar o Software num único computador de cada vez.

B: Modo Experimental

* O Software consiste de um programa de computador descarregável a partir de um website ou fornecido em um ou em vários DVDs.

* A Aplicação Hospedeira em Modo Experimental está equipada com uma função de desactivação controlada por tempo. É-lhe permitido utilizar o Software tanto tempo quanto o Modo Experimental da Aplicação Hospedeira permanece em vigor.

* Pode utilizar o Software num único computador de cada vez.

* Para actualizar esta cópia para uma licença comercial, contacte por favor o Parceiro local ou a Graphisoft.

C: Modo Educacional

* O Software consiste de um programa de computador descarregável a partir de um website ou fornecido em um ou em vários DVDs.

* A Aplicação Hospedeira em Modo Educacional está equipada com uma função de desactivação controlada por tempo. É-lhe permitido utilizar o Software tanto tempo quanto o Modo Educacional da Aplicação Hospedeira permanece em vigor.

* Pode utilizar o Software em mais computadores com finalidades educacional, académica, investigação.

* Para actualizar esta cópia para uma licença comercial, contacte por favor o Parceiro local ou a Graphisoft.

D: Modo Demo

* Pode utilizar o Modo Demo se não possui uma licença de software requerida para uso em Modo Comercial, ou depois de expirar o número de série requerido para uso em Modo Experimental ou Educacional.

* Em Modo Demo, Você pode explorar as funcionalidades do Software sem poder utilizar as funções Copiar, Guardar e Teamwork.

4.3. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS GOODIES DO SOFTWARE:

* O Software consiste de um programa de computador descarregável a partir de um website.

* Pode utilizar o Software num único computador de cada vez.

5. RESTRIÇÕES

5.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* Não é permitido vender, emprestar, distribuir, ceder, sublicenciar, alugar ou efectuar leasing, nem transferir ou atribuir de outra forma o direito de utilizar o Software, nem transferir ou permitir o acesso por rede para usos comerciais, no todo ou em parte, sem o consentimento escrito por parte da Graphisoft para tal.

* É expressamente proibido descompilar, desmontar, descodificar, ou reduzir o Software para quaisquer propósitos.

* Você não deve desproteger ou tentar descobrir o código fonte ou algoritmos subjacentes do Software ou tentar fazer qualquer um dos anteriores em relação ao código objecto do Software.

* Você não deve utilizar o Software para fins de desenvolvimento, compilação, detecção de erros e de "design-time" similares.

* É expressamente proibido adaptar, modificar, traduzir ou criar quaisquer trabalhos derivativos baseados no todo ou em parte no Software.

* Não pode copiar quaisquer materiais escritos que acompanham o Software.

* Está expressamente proibido de dividir o seu Software e revender partes dele.

* Poderá utilizar todos os elementos do Software como partes integrantes do mesmo exclusivamente para fins de realização de funcionalidades do Software estabelecidas pela Graphisoft.

A menos que Você tenha um Acordo de Licença de Fornecedor de Serviço em vigor, Você está expressamente proibido de fornecer 'Software as a Service' (p. ex. 'Archicad as a Service') para terceiros ou outros serviços similares que envolvam a reatribuição de nossas licenças de software a terceiros, por exemplo: remarketing, serviços de revenda ou serviços nuvem.

* Você está proibido de contornar ou de fornecer um sistema a fim de contornar as TPM do Software e de utilizar o Software de qualquer outra forma não autorizada.

Em caso de infracção a quaisquer disposições deste capítulo, você reconhece expressamente que constitui violação material deste Acordo dando o direito de a Graphisoft rescindir imediatamente o presente Acordo e a Graphisoft tomará as medidas necessárias a fim de que a infracção seja terminada e para forçar o seu cumprimento com as disposições acima. Além disso, a Graphisoft terá o direito de impor o pagamento dos seus danos, bem como outros direitos e indemnizações, ao abrigo das leis em vigor resultantes da sua violação deste Acordo.

5.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

A: Modo Comercial

* A não ser que Você torne a sua própria cópia do Software totalmente inutilizável, não poderá vender, emprestar, distribuir, ceder, sublicenciar, alugar ou arrendar ou transferir ou ceder o direito de uso do Software, nem transferir ou fornecer acesso a ele pela rede para uso comercial, no todo ou em parte. Você aceita que em caso de qualquer tipo de transferência do Software por você, o presente Acordo deixa automaticamente de existir na data efectiva da transferência e você perderá todos os direitos decorrentes deste Acordo.

* No caso de uma licença revendida, Você, ou seja, o comprador do Software revendido, será obrigado a registar novamente o Software com os parceiros designados locais da Graphisoft, pagar as taxas aplicáveis e celebrar o Contrato de Suporte de Software aplicável, a fim de ter direito a quaisquer actualizações, upgrades, suporte, etc.

B: Modo Experimental

* Qualquer instalação ou utilização deste software para fins diferentes dos fins estabelecidos no presente Acordo em particular, não apenas limitado a fins comerciais, é expressamente proibida e deve ser considerada como acto ilegal.

* Não pode transferir o Software para qualquer outro computador ou pessoa. Está expressamente proibido de distribuir, disponibilizar acesso a ou comercializar o Software, quer só, quer como parte, de outro produto ou serviço. Qualquer tentativa de o fazer será anulável e pode, também, incapacitar a utilização continuada do Software.

* Não pode utilizar o Software depois de o período experimental ter expirado. Por forma a continuar a utilizar o Software passado o período experimental, deve adquirir o Software de modo a poder utilizá-lo no Modo Comercial.

C: Modo Educacional

* Não pode transferir o Software para qualquer outro computador ou pessoa. Qualquer tentativa de o fazer será anulável e pode, também, incapacitar a utilização continuada do Software.

* Não pode utilizar o Software depois de expirar o período de tempo permitido pelo número de série - no máximo, pelo período da Sua matrícula ou emprego na instituição educacional.

D: Modo Demo

* Não pode transferir o Software para qualquer outro computador ou pessoa.

* Está expressamente proibido de distribuir, disponibilizar acesso a ou comercializar o Software, quer só, quer como parte, de outro produto ou serviço. Qualquer tentativa de o fazer será anulável e pode, também, incapacitar a utilização continuada do Software.

* Não deve utilizar o Software com fins comerciais ou de produção.

5.3. DISPOSIÇÕES ESPECIAIS APLICÁVEIS PARA OS ADD-ONS DO SOFTWARE:

A: Modo Comercial

B: Modo Experimental

* Não deve utilizar o Software com fins comerciais ou de produção.

C: Modo Educacional

* Não pode transferir o Software para qualquer outro computador ou pessoa. Qualquer tentativa de o fazer será anulável e pode, também, incapacitar a utilização continuada do Software.

* Não deve utilizar o Software com fins comerciais ou de produção.

D: Modo Demo

* Não pode transferir o Software para qualquer outro computador ou pessoa.

* Não deve utilizar o Software com fins comerciais ou de produção.

5.4. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA OS GOODIES DO SOFTWARE:

6. AUDITAR

Você concorda que - além de qualquer outra verificação de conformidade de licença estabelecida neste Contrato ou em outro lugar - a Graphisoft tem o direito de o visitar nas instalações onde utiliza o Software mediante notificação por escrito com 7 (sete) dias de antecedência, em ordem a verificar os Seus registos, sistemas, instalações para verificar se a Sua utilização do Software está totalmente de acordo com as disposições deste Contrato e com as regras de direito aplicáveis. A Graphisoft pode também designar um terceiro para exercer os seus direitos de auditoria. Você concorda em cooperar plenamente com a Graphisoft para realizar com êxito esta verificação, entre outros, fornecendo à Graphisoft todas as informações e documentos solicitados.

7. TERMO

7.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* A Graphisoft poderá rescindir este Acordo com efeito imediato, sem aviso prévio seguinte à violação de qualquer parte do Acordo. A violação real ou tentada de qualquer das disposições dos PARÂMETROS ou RESTRIÇÕES da LICENÇA conforme estabelecido acima, será uma violação material deste Acordo que dá o direito à Graphisoft de rescindir este Acordo com efeito imediato.

* Em caso de rescisão pela Graphisoft Você está obrigado a indemnizar a Graphisoft pelos seus danos e despesas que ocorram em conexão com a violação do presente Acordo e a Graphisoft terá o direito de fazer valer outros direitos e reivindicações sob as leis que regem em vigor.

* Em caso de cessação, por qualquer motivo, em nenhuma circunstância será a Graphisoft responsável pelo reembolso do preço do Software (se existir) ou por quaisquer outros danos.

7.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

* Este Acordo mantém-se em vigor até ser rescindido.

A: Modo Comercial

* Após expirar o limite temporal determinado pelos termos e condições da sua compra do Produto, Você pode rescindir este Acordo destruindo o Software e todas as cópias do mesmo ou Você pode usar o Software em modo de demonstração.

* Após a rescisão, terá que destruir o Software e todas as suas cópias e devolver a CHAVE DE HARDWARE ao representante local da Graphisoft, ao no local onde Você comprou o Software, ou, se este não estiver disponível ou não aceitar a devolução da CHAVE DE HARDWARE, deverá devolver a CHAVE DE HARDWARE directamente à Graphisoft. Deve desinstalar a CHAVE DE SOFTWARE com a aplicação de programação da licença.

B: Modo Experimental

* Após o termo do prazo determinado pelo número de série recebido, Você pode rescindir este Acordo destruindo o Software e todas as cópias do mesmo ou Você pode usar o Software em modo de demonstração.

C: Modo Educacional

D: Modo Demo

* Você pode terminar este Acordo destruindo o Software e todas as cópias dele.

7.3. DISPOSIÇÕES ESPECIAIS APLICÁVEIS PARA OS ADD-ONS DO SOFTWARE:

Este Acordo mantém-se em vigor até ser rescindido.

A: Modo Comercial

* Após o término, Você deve destruir o Software e todas as cópias dele.

B: Modo Experimental

* Após expirar o Modo Experimental da Aplicação Hospedeira, Você pode rescindir este Acordo destruindo o Software e todas as cópias do mesmo ou Você pode usar o Software em Modo Demo.

C: Modo Educacional

* Após expirar o Modo Educacional da Aplicação Hospedeira, Você pode rescindir este Acordo destruindo o Software e todas as cópias do mesmo ou Você pode usar o Software em Modo Demo.

D: Modo Demo

* Você pode terminar este Acordo destruindo o Software e todas as cópias dele.

7.4. DISPOSIÇÕES ESPECIAIS APLICÁVEIS PARA OS GOODIES DO SOFTWARE:

* Este Acordo mantém-se em vigor até ser rescindido.

* Você pode terminar este Acordo destruindo o Software e todas as cópias dele.

8. GARANTIA LIMITADA

8.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* Nenhum conselho ou informação dada pelos empregados da Graphisoft, seus Parceiros, revendedores, agentes, ou consultores deve constituir uma garantia da Graphisoft ou extensão da garantia deste Acordo. Este Acordo e a garantia aqui fornecida pode, apenas, ser alterada por uma emenda escrita assinada por um devidamente autorizado administrador executivo da Graphisoft.

* Em nenhuma eventualidade deve a Graphisoft ser responsável por qualquer perda ou dano qualquer que ele seja, incluindo, mas não limitado a perda de dados, prejuízos por perda de facturação, interrupção de negócio, perda de informação de negócio, ou outra especial, prejuízos circunstanciais, resultantes, exemplares, múltiplos, ou indirectos ou outra perda pecuniária, resultante da utilização ou má-utilização do Software, ou de outra maneira sob este Acordo, mesmo se a Graphisoft ou os seus empregados, revendedores, ou agentes tenham sido aconselhados ou deviam ter sabido da possibilidade de tais prejuízos. Em nenhuma eventualidade, a responsabilidade agregada da Graphisoft por qualquer ruptura deste Acordo, uso do Software ou outra situação, excede os montantes pagos por esta cópia do Software, excepto, se de outra forma for requerido por lei aplicável.

* Aceita e confirma que o preço (se existir) ou a utilização sem custos do Software e as condições deste acordo são vantajosas para si e foram determinantes tendo em consideração as disposições anteriores sobre a garantia limitada.

8.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

A: Modo Comercial

* A Graphisoft garante que - se receber uma CHAVE DE HARDWARE para o Software - a CHAVE DE HARDWARE estará isenta de defeitos pelo período de 1 ano a partir da data original da primeira venda do Software pela Graphisoft /um parceiro da Graphisoft como indicado no recibo de compra.

* A Graphisoft garante que - se o Software é entregue em DVD(s) - os DVDs nos quais o software é fornecido estarão livres de defeitos por um período de 90 dias a partir da data da compra, conforme indicado no Seu recibo de compra.

* Esta garantia limitada é nula se o defeito dos DVDs ou da CHAVE DE HARDWARE resultou, de qualquer modo, de acidente, negligência, mau uso, abuso, roubo, perda, ou má utilização.

* O período limitado de garantia começa na data em que o Software foi primeiramente adquirido a partir da Graphisoft ou dum parceiro Graphisoft (p.ex. o período de garantia não se reiniciará no caso de revenda, upgrade, actualização, etc. do Software).

* Se, dentro do período de garantia, os DVDs ou a CHAVE DE HARDWARE se mostrarem defeituosos, a inteira responsabilidade da Graphisoft e o Seu único recurso deve ser, por opção da Graphisoft:

substituir os DVDs ou CHAVES DE HARDWARE defeituosos gratuitamente desde que enviados para a Graphisoft acompanhados duma prova de compra, ou
fazer o reembolso do preço pago pela substituição da licença. Qualquer substituição do DVD ou da CHAVE DE HARDWARE será garantida por 90 dias a partir da data em que a substituição for enviada para si.

Você tem direito ao reembolso do preço que pagou pelo software de substituição exclusivamente do vendedor a quem Você comprou o software.

* Você aceita expressamente que - para o máximo de extensão permitida pelas regras da lei aplicável - a Graphisoft exclui qualquer garantia relacionada com a CHAVE DE SOFTWARE. Se a Sua CHAVE DE SOFTWARE está destruída ou danificada por qualquer razão, Você necessita de voltar a comprar a CHAVE DE SOFTWARE sob as condições actuais.

* EXCEPTO PARA AS GARANTIAS LIMITADAS DO MEDIA E DA CHAVE DE HARDWARE, O SOFTWARE É VENDIDO "COMO ESTÁ", SEM QUALQUER GARANTIA; EXPRESSA OU IMPLÍCITA, EM CONFORMIDADE OU ADEQUAÇÃO PARA QUALQUER FINALIDADE OU QUE O SOFTWARE SE PROCESSARÁ SEM INTERRUPÇÃO E SEM ERROS. AO MÁXIMO DE EXTENSÃO PERMITIDA PELAS REGRAS APLICÁVEIS DA LEI, A GRAPHISOFT NEGA TODAS AS OUTRAS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO GARANTIAS DE NEGOCIABILIDADE, APTIDÃO PARA UMA FINALIDADE PARTICULAR, QUALIDADE, PERFEIÇÃO, NÃO-VIOLAÇÃO OU PRECISÃO DAS FUNÇÕES DO SOFTWARE.

B: Modo Demo, Educacional e Experimental

* EXCEPTO PARA AS GARANTIAS LIMITADAS DO MEDIA, O SOFTWARE É VENDIDO "COMO ESTÁ", SEM QUALQUER GARANTIA, EXPRESSA OU IMPLÍCITA, EM CONFORMIDADE OU ADEQUAÇÃO PARA QUALQUER PARTICULAR FINALIDADE, OU QUE O SOFTWARE PROCESSARÁ SEM INTERRUPÇÃO E SEM ERROS. A GRAPHISOFT NEGA TODAS AS OUTRAS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO GARANTIAS DE NEGOCIABILIDADE, APTIDÃO PARA UMA FINALIDADE PARTICULAR, QUALIDADE, PERFEIÇÃO, NÃO-VIOLAÇÃO OU PRECISÃO DAS FUNÇÕES DO SOFTWARE.

8.3. DISPOSIÇÕES ESPECIAIS APLICÁVEIS PARA OS ADD-ONS DO SOFTWARE:

A: Modo Comercial

* Esta garantia limitada é nula se o defeito dos DVDs resultou, de qualquer modo, de acidente, negligência, mau uso, abuso, roubo, perda, ou má utilização.

* O período limitado de garantia começa na data em que o Software foi primeiramente adquirido/fornecido a partir da Graphisoft ou dum parceiro Graphisoft (p.ex. o período de garantia não se reiniciará no caso de revenda, upgrade, actualização, etc. do Software).

* Se, dentro do período de garantia, os DVDs se mostrarem defeituosos, a responsabilidade da Graphisoft e as soluções exclusivas serão, por opção da Graphisoft:

reparar ou substituir os DVDs defeituosos gratuitamente desde que enviados para a Graphisoft acompanhados duma prova de compra, ou
fazer o reembolso do preço pago pela substituição da licença (se existir). Qualquer substituição do DVD ou do dispositivo de protecção será garantida por 90 dias a partir da data em que a substituição for enviada para si.

Você tem direito ao reembolso do preço que pagou pelo software de substituição exclusivamente do vendedor a quem Você comprou o software.

* EXCEPTO PARA AS GARANTIAS LIMITADAS DO MEDIA, O SOFTWARE É VENDIDO "COMO ESTÁ", SEM QUALQUER GARANTIA; EXPRESSA OU IMPLÍCITA, EM CONFORMIDADE OU ADEQUAÇÃO PARA QUALQUER FINALIDADE OU QUE O SOFTWARE SE PROCESSARÁ SEM INTERRUPÇÃO E SEM ERROS. AO MÁXIMO DE EXTENSÃO PERMITIDA PELAS REGRAS APLICÁVEIS DA LEI, A GRAPHISOFT NEGA TODAS AS OUTRAS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO GARANTIAS DE NEGOCIABILIDADE, APTIDÃO PARA UMA FINALIDADE PARTICULAR, QUALIDADE, PERFEIÇÃO, NÃO-VIOLAÇÃO OU PRECISÃO DAS FUNÇÕES DO SOFTWARE.

B: Modo Demo, Educacional e Experimental

* AO MÁXIMO DE EXTENSÃO PERMITIDA PELAS REGRAS RELEVANTES DA LEI,O SOFTWARE É VENDIDO "COMO ESTÁ", SEM QUALQUER GARANTIA; EXPRESSA OU IMPLÍCITA, EM CONFORMIDADE OU ADEQUAÇÃO PARA QUALQUER FINALIDADE PARTICULAR OU QUE O SOFTWARE SE PROCESSARÁ SEM INTERRUPÇÃO E SEM ERROS. A GRAPHISOFT NEGA TODAS AS OUTRAS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO GARANTIAS DE NEGOCIABILIDADE, APTIDÃO PARA UMA FINALIDADE PARTICULAR, QUALIDADE, PERFEIÇÃO, NÃO-VIOLAÇÃO OU PRECISÃO DAS FUNÇÕES DO SOFTWARE OU COOPERAÇÃO COM OUTRO DISPOSITIVO DE SOFTWARE/HARDWARE.

8.4. DISPOSIÇÕES ESPECIAIS APLICÁVEIS PARA OS GOODIES DO SOFTWARE:

* AO MÁXIMO DE EXTENSÃO PERMITIDA PELAS REGRAS APLICÁVEIS DA LEI, TENDO EM PARTICULAR CONTA A DISPONIBILIDADE GRATUITA DA LICENÇA PARA SI, O SOFTWARE É FORNECIDO "COMO ESTÁ", SEM QUALQUER GARANTIA; EXPRESSA OU IMPLÍCITA, EM CONFORMIDADE OU ADEQUAÇÃO PARA QUALQUER FINALIDADE PARTICULAR, OU QUE O SOFTWARE SE PROCESSARÁ SEM INTERRUPÇÃO E SEM ERROS. A GRAPHISOFT NEGA TODAS AS OUTRAS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO GARANTIAS DE NEGOCIABILIDADE, APTIDÃO PARA UMA FINALIDADE PARTICULAR, QUALIDADE, PERFEIÇÃO, NÃO-VIOLAÇÃO OU PRECISÃO DAS FUNÇÕES DO SOFTWARE OU COOPERAÇÃO COM OUTRO DISPOSITIVO DE SOFTWARE/HARDWARE.

9. PROPRIEDADE DO CONTEÚDO CARREGADO, MATERIAIS DE TERCEIRAS PARTES, SERVIÇOS

9.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* Todos os títulos, direitos de propriedade, e direitos de propriedade em e para a informação e outros conteúdos (p. ex. comerciais e add-ons de terceiros) carregados no Software através de qualquer meio electrónico ou da internet operada pelo Software (colectivamente, "Conteúdo") é propriedade do dono do Conteúdo aplicável, incluindo, sem limitação, o Fornecedor, seus afiliados, e qualquer fornecedor de Conteúdos da Internet ("Fornecedor de Conteúdos"). O presente acordo não Lhe dá a propriedade ou quaisquer outros direitos em relação a qualquer Conteúdo e a Graphisoft não assume qualquer responsabilidade por esse Conteúdo.

* Aceita que a utilização de alguns produtos Graphisoft e alguns materiais e serviços de terceiros incluídos ou acessíveis através do Software estão sujeitos a outros termos e condições incluídas no(s) acordo(s) de licença separado(s) localizado(s) em https://www.graphisoft.com/licenses , que Você também aceita ao aceitar os termos e condições deste Acordo.

* Aceita que o uso de alguns materiais, software e serviços da Graphisoft e de terceiras partes, utilizados com a ajuda do software pode estar sujeito a outros termos e condições incluídos no contrato de licença separado(s) não aparece no link acima indicado, pelos quais a Graphisoft não assume qualquer responsabilidade. A Graphisoft também não assume qualquer responsabilidade pela cooperação do Software com materiais de terceiras partes, software ou serviços ou pelo funcionamento, uso de materiais de terceiras partes, software e serviços.

9.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO OU EDUCACIONAL DO SOFTWARE:

* Você aceita que o uso do Conteúdo descarregado do Portal WEB "BIM Components" disponível em https://BIMcomponents.com ou através de um browser WEB ou directamente a partir do Software está sujeito aos Termos & Condições do Portal WEB "BIM Components" e acordo(s) de licenças separadas localizadas em https://www.graphisoft.com/licenses , as quais Você aceita aceitando os termos e condições deste Acordo. A Graphisoft não assume qualquer responsabilidade pela co-operação do Software com o Portal WEB BIM Components.

10. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL DO SOFTWARE E ADD-ONS PARA O SOFTWARE EM ASSUNTO DE SUBSCRIÇÃO DE LICENÇA

* No caso de se ter registado para uma licença de subscrição ("Subscrição") os termos e condições específicos são definidos na Emenda de Assinatura de Licença ("LSA") / Termos de Serviço ("TOS"). A LSA / TOS constitui parte inseparável deste Contrato e deve ser fornecida a Você diretamente pelo fornecedor de serviços.

* Ao aceitar os termos e condições deste Acordo Você aceita, também, os termos e condições do LSA/TOS.

* Você explicitamente toma conhecimento e aceita a transferência do Acordo de Serviço para a Graphisoft ou para o seu afiliado directo pelo Fornecedor de Serviço em qualquer altura. Em tal caso, a Graphisoft assegura-lhe os serviços contidos no Acordo de Serviço.

* Para os objectivos de Subscrição as expressões seguintes têm o seguinte significado:

"Subscrição" significa o plano de subscrição de licença relacionado com o Software licenciado pela Graphisoft a Si, sob os termos e condições deste Acordo e do LSA/TOS. O conteúdo da Subscrição está detalhada aqui e no LSA, além disso no Acordo de Serviço de Subscrição celebrado entre Si e o Seu Fornecedor de Serviço.

"Fornecedor de Serviço" significa o Parceiro ou revendedor autorizado Graphisoft que celebra o Acordo de Serviço com Você no que diz respeito à prestação da Subscriçãom a Si.

"Acordo se Serviço de Subscrição" significa o acordo contendo os termos e condições da Subscrição proporcionada a Si pelo Seu Fornecedor de Serviço.

11. DISPOSIÇÕES ESPECIAIS APLICÁVEIS AO MODO COMERCIAL DO SOFTWARE EM RELAÇÃO AO ACORDO DE SERVIÇOS DE SOFTWARE

* Caso você tenha firmado um Contrato de Serviço de Software ("SSA") ou um Contrato Forward da Graphisoft ("Forward") relativo a este Software com um de nossos Parceiros locais ("Fornecedor de Serviços SSA/Forward"), após a rescisão ou expiração do contrato de distribuição entre a Graphisoft e o Parceiro local, Você explicitamente concorda com a transferência do SSA/Forward do Parceiro local para a Graphisoft ou para um terceiro designado por ela. Os detalhes da transferência ser-lhe-ão comunicados por meio de um aviso de transferência pela Graphisoft e pelo Parceiro local. Você também reconhece e concorda explicitamente que, não obstante os termos e condições do SSA/Forward, a Graphisoft ou o terceiro designado por ela terá o direito de alterar unilateralmente o âmbito dos serviços prestados sob o SSA/Forward, ou qualquer outro termo material da mesma.

* Você reconhece e concorda que o seu Fornecedor de Serviços SSA/Forward fornece ao Graphisoft o seu status de SSA/Forward para que Você seja totalmente informado de Sua elegibilidade para extensões disponíveis exclusivamente para Utilizadores Finais com status SSA/Forward válido ("Extensões SSA/Forward"). Você concorda que os Seus direitos e obrigações em relação às Extensões SSA/Forward podem ser regidos por termos de utilização separados que você é responsável por cumprir. Entre em contacto com o seu Fornecedor de Serviços SSA/Forward para obter os termos adicionais relevantes.

Nota: Acordo de Serviço de Software pode ser comercializado sob um nome diferente no seu país.

12. COMÉRCIO & SANÇÕES

* Tanto você como a Graphisoft devem cumprir as leis e regulamentos relativos a sanções económicas, comerciais e financeiras, os embargos e/ou as medidas restritivas ("Sanções"), assim como todas as leis e regulamentos de controlo de exportações e importações ("Controlos Comerciais") emitidas ou aplicadas pelo governo da Hungria, pela União Europeia ou por qualquer país relevante;

* Você declara e garante, numa base continuada, que, caso seja uma entidade legal, nem você nem nenhuma das suas subsidiárias, filiais ou partes com posse ou controlo direto ou indireto sobre si, bem como nenhum dos seus administradores, funcionários ou utilizadores autorizados consta ou constará de qualquer lista de entidades restritas por aplicação de Sanções e/ou Controlos Comerciais;

* A Graphisoft declara e garante, numa base continuada, que nem ela nem nenhuma das suas subsidiárias, filiais, funcionários ou partes com posse ou controlo direto ou indireto sobre a mesma consta ou constará de qualquer lista de entidades restritas por aplicação de Sanções e/ou Controlos Comerciais;

* O software Graphisoft é licenciado na condição de a licença não ser sublicenciada, transferida, disponibilizada, exportada, fornecida ou utilizada por si (i) para qualquer fim ou atividade proibida ou limitada por Sanções e/ ou Controlos Comerciais e (ii) para qualquer país ou território sujeito a sanções jurisdicionais, incluindo, à data do presente Contrato, a Coreia do Norte, o Irão, a Síria, o Sudão e Cuba. O Utilizador é o único responsável pelos Conteúdos, em conformidade com as Sanções e/ou Controlos Comerciais aplicáveis.

* Cada uma das Partes se compromete a notificar imediatamente a outra Parte por escrito se receber qualquer aviso prévio ou tomar conhecimento de qualquer violação a esta seção 12;

* Salvaguardando qualquer disposição em contrário, qualquer uma das Partes terá o direito de i) resolver imediatamente o presente Contrato em caso de violação de qualquer uma das disposições constantes desta seção 12. e de ii) exigir uma compensação da Parte que violou as disposições pertinentes por eventuais perdas diretas daí resultantes.

13. CONDIÇÕES GERAIS E DE ENCERRAMENTO

13.1. DISPOSIÇÕES GERAIS - APLICÁVEIS AO MODO COMERCIAL, MODO EXPERIMENTAL, MODO DEMO E EDUCACIONAL DO SOFTWARE, PARA OS ADD-ONS DO SOFWARE AND PARA OS "GOODIES" DO SOFTWARE:

* Este Acordo NÃO lhe dá o direito a qualquer apoio técnico para o Software ou para actualizações que a Graphisoft possa oferecer em determinadas alturas. A Graphisoft pode, como opção ou como parte da sua política de vendas, disponibilizar o apoio técnico e as actualizações a utilizadores registados do Software, nos termos a serem determinados na devida altura pela Graphisoft ou pelos seus parceiros.

* Você aceita que Graphisoft pode modificar unilateralmente qualquer termo deste Acordo, com ou sem aviso prévio. Você concorda que Graphisoft não deve ser responsabilizada por você ou qualquer outra pessoa por qualquer efeito negativo decorrente de tais modificações. Para a versão mais recente do EULA por favor visite a página web http://www.graphisoft.com/legal .

* Este Acordo constitui o acordo completo e integral entre si e a Graphisoft sobre o Software e substitui quaisquer acordos e entendimentos anteriores, quer escritos quer verbais. Salvo disposição em contrário que lhe seja comunicada por escrito pela Graphisoft, as condições do presente acordo são aplicáveis à instalação e utilização de funções adicionais do software e reparação da instalação do software.

* Se qualquer parte ou cláusula deste Acordo for contrário à lei por uma jurisdição competente, esta parte ou cláusula deve ser feita cumprir até ao máximo de extensão permitida, e o Acordo restante deve permanecer com força e efeito totais.

* A versão em inglês deste Acordo será a versão a reger quando da interpretação ou criação deste Acordo. Quaisquer traduções devem ser fornecidas exclusivamente para fins informativos, sem qualquer força vinculativa e em nenhum caso Graphisoft deve ser responsabilizada por quaisquer danos directos, indirectos, incidentais, especiais ou consequentes ou danos resultantes de quaisquer traduções incompletas, incorrectas.

Este Acordo está submetido às leis da Hungria. Quaisquer disputas resultantes deste Acordo, incluindo as relacionadas com a validade, interpretação ou limite temporal do Acordo, serão exclusivamente resolvidas por um tribunal arbitral formado pelo Tribunal Arbitral Permanente, constituído junto à Câmara de Comércio e Indústria Húngara, Budapeste, de acordo com as suas próprias regras de procedimento. O local de jurisdição será em Budapeste.

13.2. DISPOSIÇÕES ESPECIAIS RELEVANTES PARA O MODO COMERCIAL DO SOFTWARE:

* Salvo disposição em contrário, os termos e condições deste acordo são aplicáveis às funcionalidades adicionais do Software e aos serviços e conteúdos fornecidos a Si em relação ao Software (tal como, em particular, o "SSA/Forward").

* Você aceita que o Software pode ter componentes limitadas no tempo/funcionalidade, as quais podem ser utilizadas na sua plena funcionalidade no caso de compra das licenças relevantes.

GRAPHISOFT SOFTWARE LICENSE AGREEMENT

1. LICENSE

1.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

Graphisoft SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("Graphisoft") licenses this Software to You, an individual or as the representative of and on behalf of Your employer (collectively referred to as "You") only upon the condition that You accept all of the terms contained in this Software License Agreement ("Agreement").

By accepting the terms of this Software License Agreement, You expressly declare and confirm that You have the full power and capacity to represent Yourself, Your employer and/or the entity on behalf of which You are acting (if any). Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.

This Agreement constitutes a non-exclusive, non-transferable, non-sublicensable, limited license for You to use the enclosed Software and associated documentation, together with the upgrades, updates, new versions and fixes provided to You by Graphisoft (together referred to as the "Software"). The Software is licensed, not sold, to You exclusively for Your own use under the terms and conditions of this Agreement.

The Software is owned by Graphisoft and protected by all applicable copyright laws. To the maximum extent permitted by applicable laws, Graphisoft reserves all rights to the Software not expressly granted hereunder and to any reproduction of the Software including its documentation, logos, trademarks, icons and interface in whole or in part. If You copy or use all or any portion of the Software without entering into this Agreement or obtaining the prior written permission of Graphisoft or in non-compliance with any of the terms of this Agreement, You are violating copyright or other intellectual property law, and You may be liable to Graphisoft and its licensors in particular for damages, and You may be subject to criminal penalties.

In order to use Your copy to the software (irrespectively whether you have SOFTWARE or HARDWARE KEY), You acknowledge that You need to have a valid Graphisoft ID and authenticate Your software copy regularly as required by Graphisoft during the term of this Agreement, to be obtained from Graphisoft at https://graphisoftid.graphisoft.com .

Graphisoft may offer the opportunity to download and try updates which are in 'preview' (non-finalized) status, but this is on Your own discretion and - to the maximum extent permitted by the applicable rules of law - Graphisoft does not take any liability for the damage the update may cause.

SPECIAL PROVISIONS APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

YOU MAY USE YOUR COPY OF THE SOFTWARE EITHER IN COMMERCIAL MODE, IN TRIAL MODE, IN EDUCATIONAL MODE OR IN DEMO MODE.

YOU ARE ENTITLED TO USE THE COMMERCIAL MODE ONLY IF YOU HAVE PURCHASED AND CONNECTED THE HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR INSTALLED THE SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY) TO YOUR COMPUTER. THE SOFTWARE MAY BE USED IN TRIAL MODE FOR A LIMITED PERIOD OF TIME IF YOU HAVE A TRIAL SERIAL NUMBER.

YOU MAY USE THE EDUCATIONAL MODE EXCLUSIVELY FOR THE PURPOSE OF INSTRUCTION OR FOR PERSONAL LEARNING, AND ONLY IF AND AFTER YOU HAVE RECEIVED A PROPER EDUCATIONAL SERIAL NUMBER FROM GRAPHISOFT OR ITS PARTNERS.

IF YOU LACK ALL THE PROPER AUTHORIZATIONS (FOR EXAMPLE HARDWARE KEY, SOFTWARE KEY OR APPROPRIATE SERIAL NUMBER) FOR THE USAGE OF THE SOFTWARE, YOU MAY USE THE SOFTWARE ONLY IN DEMO MODE.

1.2. SPECIAL PROVISIONS RELEVANT TO ADD-ONS TO THE SOFTWARE:

YOU MAY USE THE ADD-ONS TO THE SOFTWARE EXCLUSIVELY IN CONJUNCTION WITH A HOST APPLICATION (E.G. Archicad, ETC.). DEPENDING ON THE HOST APPLICATION'S CURRENT MODE OF USAGE, YOU MAY USE YOUR COPY OF THE SOFTWARE IN COMMERCIAL MODE, IN TRIAL MODE, IN EDUCATIONAL MODE OR IN DEMO MODE. YOU ARE ENTITLED TO USE THE COMMERCIAL MODE ONLY IF YOU HAVE PURCHASED AND APPLIED THE RESPECTIVE SOFTWARE LICENSE TO YOUR HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR TO YOUR SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY).

1.3. SPECIAL PROVISIONS RELEVANT TO GOODIES TO THE SOFTWARE:

YOU MAY USE THE GOODIES TO THE SOFTWARE EXCLUSIVELY IN CONJUNCTION WITH A HOST APPLICATION (E.G. Archicad, ETC.).

2. INTERNET-BASED AND NON-INTERNET BASED SERVICE COMPONENTS

2.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* The Software may contain components that enable and facilitate the use of certain Internet-based and non-Internet based services. You acknowledge and agree that Graphisoft may automatically check the operation mode, version of the Software and/or its components, its HARDWARE KEY serial number (if any), the SOFTWARE KEY serial number (if any), Trial or Educational serial number (if any) and the related services that You are utilizing in order to check that You are utilizing the Software according to its purpose, and may provide upgrades, fixes or additional services to the Software in order to advance lawful and improved operation thereof at Graphisoft's sole discretion. Graphisoft shall not be liable for any loss of data or malfunctioning of the Software occurring in connection with Graphisoft's conduct under this paragraph.

* You acknowledge that the use of Blacklisted SOFTWARE or HARDWARE Keys and of Grey-listed SOFTWARE Keys and the use of the license(s) running on them are prohibited. Graphisoft has the right to revoke/invalidate the license running on the Blacklisted SOFTWARE or HARDWARE Key and on the Grey-listed SOFTWARE Key. Graphisoft is also entitled to delete all contents from the Blacklisted SOFTWARE or HARDWARE Key and Grey-listed SOFTWARE Key. Your right to use the license that has run on Blacklisted SOFTWARE or HARDWARE Key or on Grey-listed SOFTWARE key automatically terminates when the key is registered as Blacklisted or Grey-listed by Graphisoft. Graphisoft notifies You without undue delay on the deletion of the license from the key.

Blacklisted SOFTWARE or HARDWARE Key means a protection key that is prohibited to be used for any purposes. Graphisoft registers protection keys with blacklisted status in Graphisoft's systems based on a notification made to Graphisoft as refunded, stolen, destroyed, damaged or lost. If Your are a blacklisted key owner and would like more information, please contact your Graphisoft Partner or third party from whom you purchased Your license and protection key.

Grey-listed SOFTWARE Key means a protection key, where the license running on it is activated on Your computer but in Graphisoft's system the license is still listed as available for activation due to system communication issues occurring at the license activation process.

* The Software may contain technological measures that are designed to prevent and detect unlicensed use of the Software. Utilizing the Software, You will also install these technical protection measures (hereinafter the "TPM") used by Graphisoft or its foreigner suppliers to collect, transmit and use for law enforcement purposes technical data from Your computer (hereinafter the "Technical Data") in order to prevent and detect unlicensed use of the Software and enforce Graphisoft's intellectual property rights.

* You hereby expressly accept that Graphisoft or its assignee will use TPM to confirm that You have a legally licensed copy of the Software and that You use the Software according to the terms and conditions of this Agreement.

If Graphisoft finds that You are not using a licensed copy of the Software, or that Your use of the Software infringes the terms and conditions of this Agreement, this qualifies as material breach of this Agreement that gives Graphisoft the right to terminate this Agreement with immediate effect without notice and You shall be obliged to compensate Graphisoft for its damages and expenses occurring in connection with the unlawful usage and the breach of this Agreement, and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force, furthermore You will not be allowed to install future updates of the Software.

2.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE:

* You acknowledge that - in case of Commercial Mode to the Software Graphisoft shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.

2.3. SPECIAL PROVISIONS RELEVANT TO ADD-ONS TO THE SOFTWARE:

* You acknowledge that Graphisoft shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.

3. INFORMATION AND CONSENT TO USE OF PERSONAL DATA

* Pursuant to the applicable law in force concerning the protection of personal data, by entering into this Agreement You accept that Your personal data (including those Technical Data collected and used by the TPM system) will be collected and processed by Graphisoft for the purposes related to the execution of this Agreement, including the fulfillment of Your obligations, such as those related to Graphisoft's intellectual property rights.

* In line with the above in particular the following data processing take place under the respective terms and conditions:

A. Crash report

Purpose of the crash report is to support the identification and improvement of the software defects. Crash report is sent by the Software to Graphisoft whenever the Software identifies malicious operation or fatal error causing the Software complete breakdown.
If You provide consent to Graphisoft then the crash report includes personal data indicated in paragraph five below for the purpose of potential technical support that might be provided by Graphisoft to You as end user of the Software, otherwise the crash report is pseudonymous. Pseudonymous means that it is not possible to identify You, unless You provide identification data (such as hardware ID and user ID) to Graphisoft with which Graphisoft can identify You.
By giving Your consent, the generated crash reports are sent continuously for 30 days in a row to Graphisoft including Your personal data indicated in paragraph five below. Consent can be revoked anytime by You during the 30 days period.
Revoking consent stops including personal data and crash report becomes pseudonymous again, but it does not mean that previously sent personal data is deleted. For deletion of such processed personal data, You have to contact [email protected] requesting the deletion.
Personal data processed: the Software collects and sends to Graphisoft certain data of the hardware running the license (such as hardware component information, protection key type and identifier), the list of Archicad components and their versions, applications ran at the time of and technical data related to the crash of the Software (for example the operational action when the defect occurred, content of the memory, running system processes, system variables, system component versions, system time, computer name, login name of the user),any personal and contact information You voluntarily shares when sending the crash report.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

B. Customer Experience Improvement Program ("CEIP")

The Software collects data on the time, frequency of use of each Archicad Software function; hardware, software and product information and sends it to Graphisoft.
The report is pseudonymous, meaning that it is not possible to identify You, unless You provide identification data (such as hardware ID, User ID and Project ID) to Graphisoft with which Graphisoft can identify You.
Purpose of the data processing: collect feedback on how You use the software, its functionalities, new features, malfunctions in order to improve the software and create solutions to common problems.
Once You enabled its operation, CEIP runs automatically in the background. You can stop its operation anytime by disabling the function.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

C. SSA/Forward validity checking if You are a natural person

The software collects and sends to Graphisoft certain data of the Software (such as the version and language of the Software), the protection key type and identifier.
Purpose of the data processing is to identify eligibility to SSA/Forward dependent content.
Legal base of the data processing: processing is necessary for the performance of a contract to which the data subject is party (point b. of Article 6(1) GDPR).
Duration of the data processing: 1 year from the end date of the SSA/Forward.

D. Software status checking if You are a natural person

The software collects and sends to Graphisoft certain data of the Software (such as the version, localization and operation mode of the Software), protection key type and identifier.
Purpose of the data processing: to identify available compatible Software updates to the Software, and to verify that the protection key is not Blacklisted or Grey-listed.
Legal base of the data processing: processing is necessary for the performance of a contract to which the data subject is party (point b. of Article 6(1) GDPR). If You are an entity, then no personal data is collected.
Duration of the data processing: the term of Your license.

E. BIMcloud

BIMcloud processes the following data: Graphisoft ID of person activating BIMcloud, operational system data (such as OS name, build, architecture, platform), BIMcloud Server ID generated at installation, time of activation, BIMcloud version, time of data collection, number of BIMcloud users, number of BIMcloud Projects, number of BIMcloud Libraries, number of LDAP connections, time of last server activity, number of licenses, hardware key's serial number, permission mode.
Purpose of data processing: improvement of the software and providing information on relevant functionalities and services.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: Graphisoft deletes all data within 3 years following the end of the BIMcloud subscription.

F. BIMcloud SaaS

To use BIMcloud SaaS at least one Graphisoft ID has to be registered (registered administrator) with which additional users can be created (registered user).
The BIMcloud SaaS collects and stores the following data of the registered users of End User: username, first name, last name, email address, photograph. All Archicad project files uploaded by a registered user of the End User together with any and all personal and non-personal information available in the uploaded files will be shared with all other registered users of the End User. It is the End User who remains fully liable for all content and sharing and any authorizations granted to its registered users. Graphisoft is only the data processor and the End User is the data controller to all this data.
The virtual servers running BIMcloud SaaS are activated on Google Cloud and operated by Google. The domain name services are provided by Amazon. The physical servers are located within the European Union and also in the United States.
The collected information and the content uploaded by the End User, its registered administrator and all other registered users by the End user, when using the BIMcloud SaaS are stored at servers used by Graphisoft located within the European Union and in the United States and also in Google Cloud as described above. Graphisoft makes its best efforts to store the data linked to the End User at server(s) located in the country identified during the purchase of the license based on the partner code. The aim of the selection is to provide the service to You at the highest speed possible.
Legal base of the data processing: if You are a natural person the performance of the contract under point b. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
When BIMcloud SaaS agreements expire, Graphisoft deletes all data from its servers within a month, while data stored on Google Cloud are deleted within 2 months after the expiration.

G. Archicad Support Package

Support Package is a tool that is necessary for the Graphisoft's Technical Support to efficiently investigate the issues You might experience when using Archicad, though any actual technical support is based on Your eligibility (such as for example Software Service Agreement - "SSA" or Graphisoft Forward - "Forward"). Support Package can be run by You manually, which packages contain technical and non-technical data from Your server where BIMcloud runs and/or client computer on which Archicad runs. Once the package is created You need to submit it to Graphisoft in a way as it was recommended by Graphisoft support representative.
The data collected might also include personal data as follows:
if You run the "logs from server" option, then it contains the server(s)' database, which may include all usernames, email addresses, project names, hardware IDs and IP/domain addresses, or even encrypted passwords applied by You.
if You run the "logs from client" option, then it might contain the same data categories as mentioned at "logs from server" but from the client side.
whichever option You select, the Support Package includes the project files which could also contain personal data available within (e.g. project name, customer name and address), whatever You have recorded there. As Graphisoft is unable to filter, limit or control the extent of these personal data, Graphisoft is not liable for accessing such data. Using the Package Content, Custom option you can exclude the Project content from the package to be created.
Legal base of the data processing: Graphisoft is the data processor according to Article 28 GDPR and Graphisoft does not use any personal data which may be made available for Graphisoft.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

* You expressly acknowledge that Your personal data processed under this Agreement will be processed, either manually or with the help of electronic or automated means, in such a way as to minimize, by means of suitable security measures, the risk of unauthorized access or disclosure of Your data. Your personal data will be processed during the term of this Agreement in relation to its purposes, also in order to prevent unlicensed use of the Software. For the above purposes Your personal data can be disclosed to third parties (service providers, consultants, collaborators, a list of which is available from within the Privacy Policy), either to other EEA or third countries, pursuant to the scope of this Agreement and any applicable law. In the event of any data transfers to third countries, Graphisoft always uses suitable safeguards (such as the standard contractual clauses adopted by the European Commission, the EU-US Privacy Shield and similar instruments) to ensure the adequate protection of personal data. Graphisoft reserves the right to disclose Your personal data to the competent legal authority if required to do so to enforce or defend its rights or legitimate interests before civil and criminal courts, regulatory bodies, or to execute an order of the competent judicial or regulatory authority. As End User of the Product, You have the right to access the personal data processed by Graphisoft, to obtain the updating or rectification of such data. You also have the right to obtain the erasure of any personal data if, for instance, such data have either been processed unlawfully or are no longer necessary for the purposes for which they were collected or otherwise processed. In certain cases, such as when the processing is unlawful and you oppose the erasure of your data, you have the right to obtain from Graphisoft the restriction of processing. You also have the right to receive the personal data concerning you, which you provided to Graphisoft, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller. Of course, in such cases you also have the right to lodge a complaint with the Hungarian Data Protection and Freedom of Information Authority ( http://naih.hu/general-information.html ) or another data protection supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement.

* If applicable, You ensure and warrant to us that Your employee has been duly informed of the collection, processing, transfer and usage of his/her personal information by Graphisoft as per the above, and shall indemnify and hold Graphisoft harmless from and against any related third party claims.

* The detailed rules regarding the various rights and obligations related to Graphisoft's data collection, use, transfer, handling, processing, including your subject access rights and rights to legal redress, are set forth in the Privacy Policy constituting an inseparable part of this Agreement available at https://graphisoft.com/legal/privacy-policy .

4. LICENSE PARAMETERS

4.1. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

The license granted by this Agreement is subject to the License Parameters defined hereinafter:

A: Commercial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs, a HARDWARE KEY or authorization key necessary for the SOFTWARE KEY installation, and accompanying documentation and packaging.

* The Commercial Mode may be limited in time or unlimited as determined by the terms and conditions of your purchase of the Product.

* You may use the Software on a single computer at a time.

B: Trial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Software is equipped with a time-control disabling function connected to a serial number. You are allowed to use the Software for thirty (30) days starting from the date on which You install the Software.

* You may use this Software only for non-commercial purposes. "Non-commercial purpose" means use of the Software solely for learning, education or research. "Non-commercial purpose" excludes, without limitation, any use of the Software for, as part of, or in any way in connection with a product (including software) or service which is sold, transferred, offered for sale, assigned, licensed, leased, loaned or rented.

* You may use the Software on a single computer at a time.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

C: Educational Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Software is equipped with a time-control disabling function connected to a serial number. You are allowed to use the Software for one month starting from the date on which You install the Software. Graphisoft at its own option may decide to send You a serial number, which allows You to use the Software for an additional one-year period of time ("License Period"). On the last day of the License Period the license expires and the use of the Software will be disabled automatically without any further notice.

* This is an educational mode of the Software sanctioned to be used only by students taking their degree studies, faculty members or staff of an educational institution. A degree-seeking student is defined as a student who is currently enrolled in a higher education institution, or a student who is taking (as a minimum), a three (3) credit-hour degree course, or a student who can confirm his/her enrolment at a nine (9)-month (minimum time period) certificate-granting college or university. This mode is only to be used for study and instruction - this is strictly NOT for commercial, professional, or for-profit purposes. By accepting the terms of this Software License Agreement, You expressly declare and confirm that You in person comply with the terms and conditions of this Agreement, which entitles You to conclude this Agreement with the advantageous terms and conditions provided by Graphisoft exclusively to students taking their degree studies, faculty members or staff of an educational institution. Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.

* You own a non-exclusive, special license of the Software with limitations in its functions, to be used exclusively for educational purposes for the time allowed by the serial number - at maximum, for the period of Your enrolment or employment in the educational institution.

* You may use the Software on several computers for educational, academic, research purposes.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

D: Demo Mode

* You may use the Demo Mode if you lack a HARDWARE KEY or SOFTWARE KEY required for usage for Commercial Mode, or after the expiry of the serial number required for usage for Trial Mode or Educational Mode.

* In Demo Mode, You may explore the Software's features without being able to use its Copy, Save and Teamwork functions.

4.2. SPECIAL PROVISIONS RELEVANT TO ADD-ONS OF THE SOFTWARE:

A: Commercial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs, the respective software license for HARDWARE KEY or SOFTWARE KEY, and accompanying documentation and packaging.

* The Commercial Mode may be limited in time or unlimited as determined by the terms and conditions of your purchase of the Product.

* You may use the Software on a single computer at a time.

B: Trial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Host Application in Trial Mode is equipped with a time-control disabling function. You are allowed to use the Software as long as the Host Application's Trial Mode remains in effect.

* You may use the Software on a single computer at a time.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

C: Educational Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Host Application in Educational Mode is equipped with a time-control disabling function. You are allowed to use the Software for as long as the Host Application's Educational Mode remains in effect.

* You may use the Software on several computers for educational, academic, research purposes.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

D: Demo Mode

* You may use the Demo Mode if you lack software license required for usage for Commercial Mode, or after the expiry of the serial number required for usage for Trial Mode or Educational Mode.

* In Demo Mode, You may explore the Software's features without being able to use its Copy, Save and Teamwork functions.

4.3. SPECIAL PROVISIONS RELEVANT TO GOODIES TO THE SOFTWARE:

* The Software consists of a computer program downloadable from a website.

* You may use the Software on a single computer at a time.

5. RESTRICTIONS

5.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part without the prior written consent of Graphisoft.

* You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever.

* You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software.

* You may not use the Software for development, compilation, debugging and similar design-time purposes.

* You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software.

* You may not copy any written materials accompanying the Software.

* You are expressly prohibited from dividing Your Software and reselling part(s) of it.

* You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by Graphisoft.

* Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing 'Software as a Service' (e.g.: 'Archicad as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services.

* You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner.

In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to Graphisoft to immediately terminate this Agreement, and Graphisoft will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions. In addition, Graphisoft shall be entitled to enforce payment for its damages as well as other rights and claims under the governing laws in force resulting from your breach of this Agreement.

5.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

A: Commercial Mode

* Unless You make your own copy of the Software totally unusable, You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part. You hereby accept that in case of any type of transfer of the Software by You, this Agreement automatically ceases to exist on the effective date of the transfer and You shall lose all rights arising from this Agreement.

* In case of a resold license, You, i.e. the purchaser of the resold Software, shall be required to re-register the Software with Graphisoft's appointed local partners, pay the applicable fees and enter into the applicable Software Support Agreement in order to be entitled to any updates, upgrades, support, etc.

B: Trial Mode

* Any installation or use of this Software for purposes different from the purposes set forth in this Agreement, in particular but not limited to commercial purposes, are expressly prohibited and shall be qualified as a criminal act.

* You may not transfer the Software to any other computer or person. You are expressly prohibited from distributing, providing access to or commercializing the Software or any of its components either alone or as part of another product or service. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software after the trial period has expired. In order to continue to use the Software after the trial period, You must purchase the Software in order to be able to use it in Commercial Mode.

C: Educational Mode

* You may not transfer the Software to any other computer or person. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software after the expiry of the time period allowed by the serial number - at maximum, for the period of Your enrolment or employment in the educational institution.

D: Demo Mode

* You may not transfer the Software to any other computer or person.

* You are expressly prohibited from distributing, providing access to or commercializing the Software or its any component either alone or as part of another product or service. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software for commercial or production purposes.

5.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

A: Commercial Mode

B: Trial Mode

* You may not use the Software for commercial or production purposes.

C: Educational Mode

* You may not transfer the Software to any other computer or person. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software for commercial or production purposes.

D: Demo Mode

* You may not transfer the Software to any other computer or person.

* You may not use the Software for commercial or production purposes.

5.4. SPECIAL PROVISIONS RELEVANT TO THE GOODIES TO THE SOFTWARE:

6. AUDIT

You hereby agree that - in addition to any other license compliance checking set forth in this Agreement or elsewhere - Graphisoft has the right to visit You at the premises where You use the Software upon 7 (seven) days prior written notice in order to check Your records, systems, facilities to verify that Your use of the Software is fully in line with the provisions of this Agreement and with the applicable rules of law. Graphisoft may also appoint a third party to exercise its audit rights. You hereby agree to fully cooperate with Graphisoft in order to successfully perform this verification among others by providing Graphisoft with all requested information and documents.

7. TERMINATION

7.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* Graphisoft may terminate this Agreement with immediate effect without notice following breach of any part of the Agreement. The actual or attempted violation of any of the provisions of the LICENSE PARAMETERS or RESTRICTIONS, as set out above, shall be a material breach of this Agreement giving the right to Graphisoft to terminate this Agreement with immediate effect.

* Upon termination by Graphisoft You are obliged to compensate Graphisoft for its damages and expenses occurring in connection with the breach of this Agreement and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force.

* In case of termination for any reason, under no circumstances will Graphisoft be liable for reimbursing the price of the Software (if any) or for any other damages.

7.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

* This Agreement remains in effect until it is terminated.

A: Commercial Mode

* Upon the expiry of the time limit determined by the terms and conditions of your purchase of the Product, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

* Upon termination, You must destroy the Software and all copies of it and send back the HARDWARE KEY to the local partner of Graphisoft or to the place where You purchased the Software or, if the foregoing is not available or will not accept the HARDWARE KEY, You must return the HARDWARE KEY directly to Graphisoft. You must uninstall the SOFTWARE KEY with the license programming application.

B: Trial Mode

* Upon the expiry of the term determined by the serial number received, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

C: Educational Mode

* Upon the expiry of the term determined by the serial number received, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

D: Demo Mode

* You may terminate this Agreement by destroying the Software and all copies of it.

7.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

This Agreement remains in effect until it is terminated.

A: Commercial Mode

* Upon termination, You must destroy the Software and all copies of it.

B: Trial Mode

* Upon the expiry of the Host Application's Trial Mode, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

C: Educational Mode

* Upon the expiry of the Host Application's Educational Mode, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

D: Demo Mode

* You may terminate this Agreement by destroying the Software and all copies of it.

7.4. SPECIAL PROVISIONS APPLICABLE TO THE GOODIES TO THE SOFTWARE:

* This Agreement remains in effect until it is terminated.

* You may terminate this Agreement by destroying the Software and all copies of it.

8. LIMITED WARRANTY

8.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* No advice or information given by Graphisoft employees, its Partners, resellers, agents, or consultants shall constitute a warranty by Graphisoft or extend the warranty in this Agreement. This Agreement and the warranty provided herein may only be modified by a written amendment signed by a duly authorized executive officer of Graphisoft.

* In no event shall Graphisoft be liable for any loss or damages whatsoever, including but not limited to loss of data, damages for lost income, business interruption, loss of business information, or other special, incidental, consequential, exemplary, multiple, or indirect damages or other pecuniary loss, arising from the use or misuse of the Software, or otherwise under this Agreement, even if Graphisoft or its employees, resellers, or agents have been advised or should have known of the possibility of such damages. In no event will Graphisoft's aggregate liability for any breach of this Agreement, use of the Software or otherwise, exceed the amounts actually paid by You to Graphisoft for this copy of the Software, except as otherwise required by applicable statutory law.

* You accept and confirm that the price of the Software (if any) or the free of charge provision of the Software and the conditions of this Agreement advantageous to You hereof have been determined in consideration of the above provisions on limited warranty.

8.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

A: Commercial Mode

* Graphisoft warrants that - if You receive a HARDWARE KEY to the Software - the HARDWARE KEY will be free of defects for a period of 1 year from the original date of the Software's first sale by Graphisoft/a Graphisoft partner as indicated on the purchase receipt.

* Graphisoft warrants that - if the Software is delivered on DVD(s) - the DVDs on which the Software are delivered will be free from defects for a period of 90 days from the original date of purchase as indicated by Your purchase receipt.

* This limited warranty is void if the failure of the DVDs or HARDWARE KEY in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.

* The limited warranty period commences on the date that the Software was first purchased from Graphisoft or a Graphisoft partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).

* If, within the warranty period, Your DVDs or HARDWARE KEY prove defective, Graphisoft's entire liability and Your exclusive remedy shall be, at Graphisoft's option, to:

replace the defective DVDs or HARDWARE KEY free of charge provided that they are returned to Graphisoft along with a proof of purchase, or
refund the price paid for the replacement license. Any replacement DVD or HARDWARE KEY will be warranted for 90 days from the date that the replacement was shipped to You.

You are entitled to the refund of the price you paid for the replacement software exclusively from the seller from whom You purchased the software.

* You expressly accept that - to the maximum extent permitted by the applicable rules of law - Graphisoft excludes any warranty related to the SOFTWARE KEY. If Your SOFTWARE KEY is destroyed or damaged for any reason, You must re-purchase the SOFTWARE KEY under the current conditions.

* EXCEPT FOR THE LIMITED WARRANTIES ON THE MEDIA AND THE HARDWARE KEY, THE SOFTWARE IS SOLD "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.

B: Demo, Educational and Trial Mode

* THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.

8.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

A: Commercial Mode

* This limited warranty is void if the failure of the DVDs in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.

* The limited warranty period commences on the date that the Software was first purchased/provided from Graphisoft or a Graphisoft partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).

* If, within the warranty period, Your DVDs prove defective, Graphisoft's entire liability and Your exclusive remedy shall be, at Graphisoft's option, to:

replace the defective DVDs free of charge provided that they are returned to Graphisoft along with a proof of purchase, or

TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

B: Demo, Educational and Trial Mode

* TO THE MAXIMUM EXTENT ALLOWED BY THE RELEVANT RULES OF LAW THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

8.4. SPECIAL PROVISIONS APPLICABLE TO THE GOODIES TO THE SOFTWARE:

* TO THE MAXIMUM EXTENT ALLOWED BY THE RELEVANT RULES OF LAW, TAKING INTO PARTICULAR ACCOUNT THE FREE OF CHARGE PROVISION OF THE LICENSE, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

9. OWNERSHIP OF LOADED CONTENT, THIRD PARTY MATERIALS, SERVICES

9.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* All title, ownership rights, and proprietary rights in and to the information and other content (e.g. commercial and 3rd party add-ons) loaded into the Software from any electronic media or Internet by operation of the Software (collectively, "Content") is the property of the applicable Content owner, including, without limitation, Supplier, its affiliates, and any Internet Content providers ("Content Providers"). This Agreement does not give You ownership or any other rights with respect to any such Content and Graphisoft does not undertake any liability for any such Content.

* You accept that the use of some Graphisoft products and some third party materials and services included in or accessed through the Software are subject to other terms and conditions found in separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement.

* You accept that the use of some Graphisoft and some third party materials, software and services accessed, used with the help of the Software, may be subject to other terms and conditions found in separate license agreement(s) not appearing at the link indicated above, for which Graphisoft does not assume any liability. Graphisoft also does not assume any liability for the co-operation of the Software with third party materials, software and services or for the operation and use of third party materials, software and services.

9.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

* You accept that your use of Content downloaded from the "BIM Components" WEB Portal available at https://BIMcomponents.com , either through a WEB browser or directly from the Software, is subject to the Terms & Conditions of the "BIM Components" WEB Portal and separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement. Graphisoft does not assume any liability for the co-operation of the Software with the BIM Components WEB Portal.

10. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE AND ADD-ONS TO THE SOFTWARE IN SUBJECT OF SUBSCRIPTION LICENSE

* In case you have signed up to a subscription license ("Subscription"), the specific terms and conditions thereof are set out in the relevant License Subscription Amendment ("LSA") / Terms of Service ("TOS"). The LSA/TOS constitutes inseparable part of this Agreement and shall be provided to You directly by the service provider.

* By accepting the terms and conditions of this Agreement You also accept the terms and conditions of the LSA/TOS.

* You explicitly acknowledge and accept the transfer of the Service Agreement to Graphisoft or to its direct affiliate by the Service Provider any time. In such a case, Graphisoft ensures to You the services contained in the Service Agreement.

* For the purposes of Subscription the following expressions have the following meaning:

"Subscription" shall mean the license subscription plan related to the Software licensed by Graphisoft to You under the terms and conditions of this Agreement and the LSA/TOS. The content of the Subscription is detailed herein and the LSA, furthermore in the Subscription Service Agreement entered between You and Your Service Provider.

"Service Provider" shall mean the authorized Graphisoft Partner or reseller who enters into the Service Agreement with You in subject of the provision of the Subscription to You.

"Subscription Service Agreement" shall mean the agreement containing the terms and conditions of the Subscription provided to You by Your Service Provider.

11. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE IN SUBJECT OF SOFTWARE SERVICES AGREEMENT

* In case you have concluded a Software Service Agreement ("SSA") or a Graphisoft Forward Agreement ("Forward") concerning this Software with one of our local Partners ("SSA/Forward Service Provider"), on termination or expiration of the distribution agreement between Graphisoft and the local Partner, You explicitly acknowledge and agree to the transfer of the SSA/Forward by the local Partner to Graphisoft or a third party appointed by it. The details of the transfer will be communicated to you in a transfer notice by Graphisoft and the local Partner. You also explicitly acknowledge and agree that notwithstanding the terms and conditions of the SSA/Forward, Graphisoft or the third party appointed by it shall be entitled to unilaterally amend either the scope of services provided under the SSA/Forward, or any other material term thereof.

* You acknowledge and agree that Your SSA/Forward Service Provider provides Graphisoft with Your SSA/Forward status so that You are fully informed of Your eligibility for add-ons available exclusively to End Users having a valid SSA/Forward status ("SSA/Forward Add-Ons"). You agree that Your rights and obligations in relation to the SSA/Forward Add-Ons may be governed by separate terms of use that you are responsible to comply with. Please contact Your SSA/Forward Service Provider for the relevant additional terms.

Note: Software Service Agreement may be marketed under a different name in your country.

12. TRADE & SANCTIONS

*Both You and Graphisoft shall comply with all economic, trade and financial sanctions laws, regulations, embargoes and/or restrictive measures administered ("Sanctions"), as well as all export and import control laws and regulations ("Trade Controls") enacted or enforced by the government of Hungary, the European Union and any other relevant country;

* You represent and covenant on a continuing basis that - if You are a legal entity - neither You nor Your subsidiaries, affiliates, parties which directly or indirectly own or control you, directors, employees nor Your authorized users are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;

* Graphisoft represents and covenants on a continuing basis that neither it nor its subsidiaries, affiliates, employees, nor the parties which directly or indirectly own or control it are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;

* Graphisoft Software is licensed on conditions that the license shall not be sub-licensed, transferred, released, exported, provided or used by You (i) for any purpose or any activity which is prohibited or restricted by Sanctions and/or Trade Controls and (ii) to any country or territory subject to jurisdiction wide Sanctions including without limitation at the date of this Agreement North Korea, Iran, Syria, Sudan, Cuba. User is solely liable for any Content in compliance with applicable Sanctions and/or Trade Controls.

* Each Party undertakes to immediately notify the other Party in writing if it receives any notice of, or becomes aware of, any violation of this section 12;

* Notwithstanding anything to the contrary, either Party shall have the right to (i) terminate this Agreement immediately if any of the provisions of this section 12 are breached and (ii) seek indemnities from the Party which has breached the relevant provisions for any direct losses incurred.

13. GENERAL AND CLOSING CONDITIONS

13.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* This Agreement DOES NOT give You the right to any technical support for, or upgrades to, the Software which Graphisoft may offer from time to time. Graphisoft may, at its option and as part of its sales and marketing policy, make such technical support and upgrades available to registered users of the Software under terms to be determined from time to time by Graphisoft or its Partners.

* You accept that Graphisoft may unilaterally modify any term of this Agreement with or without notice to You. You agree that Graphisoft shall not be liable to you or anyone else for any negative effect deriving from such modifications. For the most recent version of EULA please visit http://www.graphisoft.com/legal webpage.

* This Agreement constitutes the full, complete agreement between You and Graphisoft concerning the Software and supersedes all prior agreements and understandings, either written or oral. Unless otherwise communicated to You by Graphisoft in writing, the conditions of this Agreement shall apply to the installation and use of additional functions of the Software and to the repair of the Software's installation.

* If any part or provision of this Agreement is found to be contrary to law by a competent jurisdiction, that part or provision shall be enforced to the maximum extent allowed, and the remaining Agreement shall remain in full force and effect.

* The English version of this Agreement will be the governing version used when interpreting or construing this Agreement. Any translations thereof shall exclusively be provided for information purposes without any binding force and in no event shall Graphisoft be liable for any direct, indirect, incidental, special or consequential damages or damages whatsoever resulting from any incorrect, incomplete translations.

* This Agreement is governed by the laws of Hungary. Any disputes arising from this Agreement, including those disputes relating to the validity, interpretation or termination of the Agreement, shall be exclusively and finally settled by the Permanent Arbitrate Tribunal formed beside the Hungarian Chamber of Commerce and Industry, Budapest, in accordance with its own rules of procedure. The place of jurisdiction shall be in Budapest.

13.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE

* Unless otherwise provided, the terms and conditions of this Agreement shall be applicable to the additional functionalities of the Software and to the services and content provided to You in relation to the Software (such as in particular the "SSA/Forward").

* You accept that the Software may have time/functionality limited components, which may be used in their full functionality in case of purchase of the relevant license(s).
