ACUERDO DE LICENCIA DEL SOFTWARE DE GRAPHISOFT
GRAPHISOFT SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("GRAPHISOFT") licencia este Software para Usted, individualmente o como representante y por cuenta de Su empleador ("usted") sólo bajo la condición de que Usted acepta todos los términos contenidos en este Acuerdo de Licencia de Software ("Contrato").

El Software es propiedad de GRAPHISOFT y está protegido por la legislación aplicable. Dentro de los límites legales, GRAPHISOFT se reserva todos los derechos que no queden expresamente otorgados en este Contrato, relativos tanto al Software como a la reproducción total o parcial del mismo, incluida su documentación, logotipos, marcas registradas, iconos e interfaz. USTED TIENE DERECHO A USAR EL MODO BIMcloud SOLO SI HA COMPRADO Y CONECTADO LA LLAVE DE PROTECCIÓN BASADA EN HARDWARE (LLAVE DE HARDWARE) O HA INSTALADO LA LLAVE DE PROTECCIÓN BASADA EN SOFTWARE (LLAVE DE SOFTWARE) EN SU ORDENADOR.

2. COMPONENTES DE SERVICIOS BASADOS E NO BASADOS EN INTERNET
2.1. DISPOSICIONES GENERALES - APLICABLES AL MODO BIMcloud Y BIMcloud Basic DEL SOFTWARE:
* El Software puede contener componentes que permiten y facilitan el uso de ciertos servicios basados en Internet y no basados en internet. Usted reconoce y acepta que GRAPHISOFT pueda comprobar automáticamente el modo de funcionamiento, la versión del Software y/o sus componentes, el número de serie de la LLAVE DE HARDWARE (si hay alguno), de la LLAVE SOFTWARE (si hay alguno), de la versión Educacional o de Evaluación y los servicios relacionados que usted está utilizando con el fin de comprobar que está utilizando el Software de acuerdo con su propósito, y pueda proporcionar actualizaciones, correcciones o servicios adicionales al Software con el fin de avanzar en el funcionamiento legal y la mejora de los mismos en base a la sola discreción de GRAPHISOFT. GRAPHISOFT no se hace responsable de ninguna pérdida de datos o el mal funcionamiento del Software que se produzca en relación con la conducta de GRAPHISOFT bajo este párrafo.
* El Software puede contener medidas tecnológicas que están diseñadas para prevenir y detectar el uso no autorizado del Software. Utilizando el Software Usted también instalará estas medidas técnicas de protección (en adelante, el "MTP") utilizadas por GRAPHISOFT o sus proveedores extranjeros para recoger, transmitir y utilizar con fines policiales de datos técnicos de su ordenador (en adelante, los "Datos técnicos") con el fin de prevenir y detectar el uso del mismo sin licencia y hacer cumplir los derechos de propiedad intelectual de GRAPHISOFT.
* Usted acepta expresamente que GRAPHISOFT o su cesionario utilicen MTP para confirmar que Usted tiene una copia con licencia legal del Software y que usted y sus Usuarios Autorizados utilizan el Software de acuerdo con los términos y condiciones del presente Acuerdo.
Si GRAPHISOFT encuentra que usted y sus Usuarios Autorizados no están utilizando una copia con licencia del Software, o que su uso y el de sus Usuarios Autorizados del Software infringe los términos y condiciones de este Acuerdo, esto califica como material de incumplimiento de este Acuerdo que da derecho a GRAPHISOFT de terminar este Acuerdo con efecto inmediato y sin previo aviso y usted estará obligado a indemnizar a GRAPHISOFT por sus daños y gastos que se producen en relación con el uso ilegal y el incumplimiento de este Acuerdo y GRAPHISOFT tendrá derecho a hacer valer otros derechos y reclamaciones en virtud de las leyes que rigen en vigor, además no se le permitirá instalar futuras actualizaciones del Software.
Usted reconoce que usted es el único responsable del cumplimiento de sus Usuarios Autorizados con este Acuerdo y todas las demás reglas aplicables requeridas por GRAPHISOFT en relación con el uso del software.
Si Graphisoft encuentra que cualquiera de sus Usuarios Autorizados está utilizando el Software de una manera no compatible, compensará a GRAPHISOFT por cualquier daño que surja de dicho uso ilegal.
En caso de infracción de cualquier disposición de este Acuerdo realizada por sus Usuarios Autorizados, usted reconoce expresamente que GRAPHISOFT tomará las medidas necesarias para que se termine la infracción y para forzar a sus Usuarios Autorizados a que cumplan con las disposiciones de este Acuerdo.
Si su Usuario Autorizado copia o usa el Software sin ingresar a este Acuerdo u obtener el permiso previo por escrito de usted o en cualquier otro incumplimiento de los términos de este Acuerdo, está violando los derechos de autor, la ley de propiedad intelectual y la ley penal en cuyo caso tanto usted como el Usuario Autorizado serán responsables frente a GRAPHISOFT en particular por los daños, y usted y el Usuario Autorizado también pueden estar sujetos a penalizaciones criminales.
2.2. DISPOSICIONES ESPECIALES REFERENTES AL MODO BIMcloud DEL SOFTWARE:
* Usted reconoce que GRAPHISOFT puede, de vez en cuando, por diversas razones (por ejemplo, informó que fue robado, destruido o sustituido), comprobar si la llave de Hardware o Software que se usa con Su copia del Software está válida para el uso comercial.
3. INFORMACIÓN E CONSENTIMIENTO PARA EL USO DE DATOS PERSONALES
* De conformidad con la legislación vigente en materia de protección de datos personales, al entrar en este Acuerdo, Usted acepta que Sus datos personales (incluidos los Datos Técnicos recopilados y utilizados por el Sistema TPM) será recolectado y procesado por GRAPHISOFT para los fines relacionados con la ejecución de este Acuerdo, incluyendo el cumplimiento de sus obligaciones, tales como los relacionados con los derechos de propiedad intelectual de GRAPHISOFT.

- BIMcloud procesa los siguientes datos: ID de GRAPHISOFT de la persona de la activación de BIMcloud, datos del sistema operativo (como el nombre del sistema operativo, compilación, arquitectura, plataforma), la identificación del BIMcloud Server generada en la instalación, el momento de la activación, la versión de BIMcloud, el momento de los datos colección, número de usuarios de BIMcloud, número de proyectos de BIMcloud, número de bibliotecas de BIMcloud, número de conexiones LDAP, hora de la última actividad del servidor, número de licencias, número de serie de la llave de hardware, modo de permiso.

- Duración del procesamiento de datos: GRAPHISOFT elimina todos los datos dentro de los 3 años posteriores al final de la suscripción a BIMcloud.
Usted reconoce expresamente que Sus datos personales procesados bajo este Acuerdo serán procesados, ya sea manualmente o con la ayuda de medios electrónicos o automatizados, de tal manera que minimice, mediante medidas de seguridad adecuadas, el riesgo de acceso no autorizado o divulgación de Sus datos. Sus datos personales serán procesados durante el término de este Acuerdo en relación con sus propósitos, también para evitar el uso sin licencia del Software. Para los fines anteriores, sus datos personales pueden ser revelados a terceros (proveedores de servicios, consultores, colaboradores, una lista de los cuales está disponible dentro de la Política de Privacidad), ya sea a otro EEE o terceros países, de conformidad con el alcance de este Acuerdo y cualquier ley aplicable. En caso de transferencias de datos a terceros países, GRAPHISOFT siempre utiliza las garantías adecuadas (como las cláusulas contractuales estándar adoptadas por la Comisión Europea, el Escudo de Privacidad EU-USA e instrumentos similares) para garantizar la protección adecuada de los datos personales. La licencia de GRAPHISOFT concedida por este Acuerdo de Licencia está sujeta a los Parámetros de Licencia definidos de aquí en adelante.
BIMcloud ofrece funciones gratuitas y de pago: la colección de funciones gratuitas se llama BIMcloud Basic, la versión de pago se llama BIMcloud.
BIMcloud Basic - Licencia Gratuita
* BIMcloud Basic requiere una activación única del BIMcloud Manager instalado utilizando una ID de GRAPHISOFT válida del cliente.
* El Software le permite instalar los siguientes productos de software juntos:
* Condiciones Especiales: el uso de BIMcloud Basic está limitado a las redes de área local (LAN / VPN). El uso de BIMcloud Basic en redes de área ampliada (WAN / Internet) está estrictamente prohibido. BIMcloud Basic solo se puede instalar en hardware local. BIMcloud Basic no puede instalarse/operarse desde computadoras virtuales basadas en la nube.
* Estos componentes deben ser instalados en la misma computadora.
* BIMcloud Basic solo puede trabajar con una versión de Archicad, la cual debe ser seleccionada durante el proceso de configuración y no puede ser cambiada posteriormente.

* Puede conectar un número ilimitado de Clientes a un BIMcloud Basic en cualquier momento
* BIMcloud Basic puede actualizarse a la versión de pago de BIMcloud para activar todas sus características gratuitas y de pago a la vez; ver la licencia de BIMcloud

* La Licencia de Usuario de BIMcloud es una licencia de suscripción anual. Las Licencias de Usuario de BIMcloud caducan al final de sus términos anuales a no ser que el Cliente las renueve expresamente. Esta renovación es esencial para poder continuar accediendo al BIMcloud desde las aplicaciones de Cliente.
* El acceso a los datos en el BIMcloud desde múltiples tipos de dispositivos a la vez (por ejemplo: ordenador, tableta (dispositivo móvil) o teléfono inteligente (dispositivo móvil)) por un solo usuario sólo requiere una Licencia de Usuario de BIMcloud por usuario, que puede ser utilizada con un máximo de tres dispositivos de la siguiente manera: dos dispositivos móviles y un ordenador, o un dispositivo móvil y dos ordenadores.
* BIMcloud proporciona una Licencia de Usuario de BIMcloud de emergencia incorporada, cuando las licencias de suscripción expiran o la llave de autorización no está accesible. Esta licencia se puede utilizar solo con fines de copia de seguridad y no se utilizará para la producción.

* Puede instalar el BIMcloud Manager en una sola computadora para administrar el BIMcloud Server(s) de forma local o remota.
* Puede conectar un número ilimitado de BIMcloud Servers al BIMcloud Manager.
* Es posible conectar un número limitado de Clientes (equivalentes al número de licencias de Usuario de BIMcloud válidas que tiene) en cualquier momento para un BIMcloud.
* Puede hacer copias de seguridad del BIMcloud Manager en forma legible por una máquina.

5.1. DISPOSICIONES GENERALES - APLICABLES AL MODO BIMcloud Y BIMcloud Basic DEL SOFTWARE:
* Queda expresamente prohibido descompilar, desensamblar, utilizar la ingeniería inversa o reducir el Software para cualquier tipo de uso.
* Usted no podrá abrir o tratar de descubrir el código fuente o sus algoritmos subyacentes del Software o intentar hacer cualquiera de lo anterior en relación con el código objeto del Software.
* Usted no utilizará el Software para propósitos de desarrollo, compilación, depuración y de diseño similar.
* Queda expresamente prohibida la adaptación, modificación, traducción o creación de cualquier trabajo derivado basado en todo o en parte del Software, y la combinación del Software en cualquier otro software.
* No debe copiar ningún material escrito que acompaña al Software;
* Queda expresamente prohibido dividir su licencia y revender parte(s) de ella.
* Usted deberá utilizar todos los elementos del Software como componentes integrales de los mismos exclusivamente para los fines de la realización de las funcionalidades del software establecido por GRAPHISOFT.
* Cláusula NO PROVISIÓN: A menos que tenga un Acuerdo de Licencia de Proveedor de Servicio separada en vigor, se le prohíbe expresamente el suministro y aprovisionamiento de servicios como 'Software as a Service' o 'Platform as a Service' (por ejemplo: 'BIMcloud as a Service' en el caso de que productos como el BIMcloud Manager, BIMcloud Server o BIMcloud Delta Cache y 'Archicad as a Service') por terceros u otros servicios similares que implican el cambio de destino de nuestras licencias de software a terceros, por ejemplo: el remarketing, la reventa de servicios o de servicios en la nube.

En caso de infracción de las disposiciones de este capítulo, usted reconoce expresamente que constituye incumplimiento de este Acuerdo dando el derecho a GRAPHISOFT de terminar inmediatamente este Acuerdo y GRAPHISOFT tomará las medidas necesarias para dar por concluida la infracción y para hacer cumplir su el cumplimiento de las disposiciones anteriores. Además, GRAPHISOFT tendrá derecho a exigir el pago de sus daños, así como otros derechos y reclamaciones en virtud de las leyes que rigen en vigor que resulten de su incumplimiento de este Acuerdo.
* A menos que usted haga de su propia copia del software totalmente inutilizable, Usted no puede vender, prestar, distribuir, ceder, sublicenciar, alquilar o ceder ni transferir o ceder el derecho de uso del Software, ni transferir o facilitar el acceso a ella por la red de uso comercial, ya sea en su totalidad o en parte. Por la presente, acepta que en caso de cualquier tipo de transferencia del Software por usted, este Acuerdo automáticamente deja de existir en la fecha efectiva de la transferencia y usted perderá todos los derechos derivados del presente Acuerdo.
5.2. DISPOSICIONES ESPECIALES REFERENTES AL MODO BIMcloud DEL SOFTWARE:
* En el caso de una licencia revendida, usted, es decir, el comprador del Software revendido, será necesario que vuelva a registrar el software con socios locales designados de GRAPHISOFT, pagar las tasas correspondientes y entrar en el Acuerdo de Soporte de Software aplicable con el fin de tener derecho a las actualizaciones, mejoras, soporte, etc.
Usted por el presente está de acuerdo en que - además de cualquier otra verificación de conformidad de licencia establecida en este Acuerdo o en otro lugar - GRAPHISOFT tiene el derecho de visitarle a usted y a sus Usuarios Autorizados en las instalaciones donde Usted usa el Software con 7 (siete) días de antelación por escrito para comprobar sus registros, sistemas, instalaciones, para verificar que Su uso del Software está totalmente de acuerdo con las disposiciones de este Acuerdo y con las normas legales aplicables. GRAPHISOFT también podrá designar a un tercero para ejercer sus derechos de auditoría. Por el presente, usted está de acuerdo en cooperar plenamente con GRAPHISOFT para poder llevar a cabo esta verificación entre otras, proporcionando a GRAPHISOFT toda la información y documentos solicitados.
* GRAPHISOFT podrá terminar el presente Acuerdo con efecto inmediato y sin previo aviso tras el incumplimiento de cualquier parte del Acuerdo. La violación o intento de cualquiera de las disposiciones de los PARÁMETROS DE LA LICENCIA o RESTRICCIONES, según lo establecido anteriormente, será una violación material de este Contrato dándole el derecho a GRAPHISOFT de terminar este Acuerdo con efecto inmediato.
* Tras la rescisión por parte de GRAPHISOFT Usted está obligado a indemnizar a GRAPHISOFT por sus daños y gastos que se producen en relación con el incumplimiento de este Acuerdo y GRAPHISOFT tendrá derecho a hacer valer otros derechos y reclamaciones en virtud de las leyes que rigen en vigor.
* En caso de terminación por cualquier causa, en ningún caso GRAPHISOFT será responsable de reembolsar el precio del Software (si hay alguno) o de cualquier otro daño.
* Este Contrato permanecerá en vigor hasta que llegue a su término.
* Llegado el fin del Contrato, Usted deberá destruir el Software y todas las copias del mismo y devolver la LLAVE HARDWARE al socio local de GRAPHISOFT, en el mismo lugar donde el Software fue adquirido o, si este no se encuentra disponible o no acepta la LLAVE HARDWARE, deberá devolver la misma directamente a GRAPHISOFT. Deberá desinstalar la LLAVE SOFTWARE con la aplicación de programación de licencia.
8.1. DISPOSICIONES GENERALES - APLICABLES AL MODO BIMcloud Y BIMcloud Basic DEL SOFTWARE
* No constituirá garantía por parte de GRAPHISOFT, ni una extensión de la garantía de este Contrato, la información proporcionada por los empleados de GRAPHISOFT, o por sus distribuidores, revendedores, agentes o consultores. Este Contrato y la garantía que lo acompaña solo podrán ser modificados por disposición escrita, firmada por un directivo de GRAPHISOFT debidamente autorizado.
* En ningún caso GRAPHISOFT será responsable de la pérdida o daños de la naturaleza que sean, incluidos, a título indicativo pero no limitativo, la pérdida de datos, daños por pérdida de ingresos, interrupción de negocio, pérdida de información de negocio, o cualquier otro daño que sea especial, incidental, consecutivo, ejemplar, múltiple, así como otros daños indirectos o cualquier otra pérdida económica, que provengan del uso o mal uso del Software, o de cualquier otra forma prevista en este Contrato, incluso en el caso de que GRAPHISOFT o sus empleados, revendedores o agentes hayan sido advertidos o hubieran conocido la posibilidad de que tales daños se produjeran. Bajo ningún concepto la responsabilidad conjunta de GRAPHISOFT en caso de incumplimiento de este Contrato, uso del Software u otros supuestos irá más allá de los importes que usted haya abonado a GRAPHISOFT por la copia del Software, salvo que la legislación aplicable estipule otra cosa.
* Usted acepta y confirma que el precio del Software (si existe) o la libre prestación de cargo del Software y las condiciones de este acuerdo ventajosas para usted se han determinado teniendo en cuenta las disposiciones anteriores sobre la garantía limitada.
8.2. DISPOSICIONES ESPECIALES REFERENTES AL MODO BIMcloud DEL SOFTWARE:
* GRAPHISOFT garantiza que - si recibe una LLAVE HARDWARE para el Software - ésta estará libre de defectos durante 1 año desde la fecha original de la primera venta del Software por GRAPHISOFT o un colaborador de GRAPHISOFT, tal y como se establece en el recibo de compra.
* GRAPHISOFT garantiza que -si el Software se entrega en DVD - estos DVD en los cuales está el Software estarán libres de defectos durante los 90 días siguientes a la fecha original de compra, tal y como establece su recibo de compra.
* Esta garantía limitada no tiene efecto en el caso de fallos de los DVD o de las LLAVES HARDWARE producidos por accidentes, uso abusivo, hurto, perdida, o uso indebido.
* El periodo de garantía limitada comienza en la fecha en que el Software se adquirió por primera vez en GRAPHISOFT o un colaborador de GRAPHISOFT (es decir, el periodo de garantía no se reiniciará en caso de reventa, actualización, etc, del Software).
* Si durante el período de garantía los DVDs o las LLAVES HARDWARE se revelan defectuosos, la responsabilidad de GRAPHISOFT y su compensación exclusiva será, a opción de GRAPHISOFT, de:
- reemplazar los DVD o LLAVE DE HARDWARE defectuosos sin gastos, siempre que sean devueltos a GRAPHISOFT con una prueba de compra, o
- reembolsar el precio pagado para la licencia de sustitución. Los DVD o las LLAVES HARDWARE de sustitución tendrán una garantía de 90 días desde la fecha en que le haya sido enviada la licencia de sustitución.
* Usted acepta expresamente que - en la medida máxima permitida por las normas aplicables de derecho - GRAPHISOFT excluye cualquier garantía relacionada con la LLAVE SOFTWARE. Si tu LLAVE SOFTWARE es destruida o dañada por cualquier motivo, usted debe volver a comprar la LLAVE SOFTWARE en las condiciones actuales.
* SALVO POR LAS GARANTÍAS LIMITADAS EN LOS MEDIOS DE COMUNICACIÓN Y LA LLAVE HARDWARE, EL SOFTWARE SE VENDE "TAL CUAL", SIN NINGUNA OTRA GARANTÍA, EXPRESA O TÁCITA, DE QUE SEA CONFORME O ADECUADO PARA CUALQUIER FIN PARTICULAR, O DE QUE EL SOFTWARE FUNCIONARÁ DE FORMA ININTERRUMPIDA Y SIN ERRORES. GRAPHISOFT EXCLUYE CUALQUIER OTRA GARANTÍA, EXPLÍCITA O TÁCITA, INCLUIDAS LAS GARANTÍAS DE COMERCIABILIDAD, ADECUACIÓN PARA UN FIN CONCRETO, CALIDAD, TOTALIDAD, NO VULNERACIÓN O PRECISIÓN DE LAS FUNCIONES DEL SOFTWARE.
9. PROPIEDAD DE LOS DATOS CARGADOS, MATERIALES DE TERCEROS, SERVICIOS
* Todo Título, derecho de propiedad y derecho de autor dentro de la información y otro contenido (p. ej. extensiones comerciales y de terceros), cargado en el Software de cualquier medio electrónico o Internet por la operativa del Software (colectivamente, "Contenido") es propiedad del autor de este Contenido, incluyendo, sin limitación, El Distribuidor, sus afiliados, y cualquier Proveedor de Contenidos de Internet ("Proveedores de Contenidos"). Esta Licencia no le da derechos de autor ni de propiedad.
* Usted acepta que el uso de algunos productos de GRAPHISOFT y materiales y servicios de terceras partes incluidos en o accedidos a través del software están sujetos a otros términos y condiciones que se encuentran en diferentes acuerdos de licencia(s), ubicados en https://www.graphisoft.com/licenses , que también acepta al aceptar los términos y condiciones del presente Acuerdo.
* Usted acepta que el uso de algunos materiales de terceros, software y servicios de disponibilidad de GRAPHISOFT, utilizados con la ayuda del Software pueden estar sujetos a otros términos y condiciones que se encuentran en el acuerdo(s) que no aparecen en el enlace indicado más arriba, para los que GRAPHISOFT no asume ninguna responsabilidad. GRAPHISOFT tampoco asume ninguna responsabilidad por la cooperación del Software con materiales de terceros, software y servicios y para el funcionamiento, el uso de materiales de terceros, software y servicios.
10. CONDICIONES GENERALES Y DE CIERRE
10.1. DISPOSICIONES GENERALES - APLICABLES AL MODO BIMcloud Y BIMcloud Basic DEL SOFTWARE:
* Este Contrato NO le da derecho a ningún tipo de soporte técnico o a recibir actualizaciones del Software que GRAPHISOFT pudiera ofrecer en cualquier momento. GRAPHISOFT podrá, por su propia voluntad y como parte de su política de ventas o de marketing, ofrecer dicho soporte técnico y actualizaciones a los usuarios registrados del Software, en los términos que GRAPHISOFT o sus distribuidores establezcan.
* Usted acepta que GRAPHISOFT pueda modificar unilateralmente los términos de este Acuerdo con o sin previo aviso. Usted acepta que GRAPHISOFT no será responsable ante usted o cualquier otra persona por cualquier efecto negativo derivado de tales modificaciones.
* El presente Acuerdo constituye el acuerdo completo entre usted y GRAPHISOFT sobre el Software y reemplaza todos los acuerdos y entendimientos previos, ya sea escritos u orales. A menos que sea comunicado a usted por GRAPHISOFT por escrito, las condiciones del presente acuerdo serán de aplicación a la instalación y uso de las funciones adicionales del software y para la reparación de la instalación del software.
* Si cualquiera de las partes o disposiciones de este Contrato es declarada contraria a la ley por una jurisdicción competente, dicha parte o disposición será de aplicación en la medida de lo posible, y el resto del Contrato se mantendrá en vigor.
* La versión en Inglés de este Acuerdo será la versión utilizada de gobierno para su interpretación del presente Acuerdo. Las traducciones de los mismos exclusivamente se proporcionan para fines de información sin ninguna fuerza vinculante y, en ningún caso, GRAPHISOFT se hace responsable de los daños directos, indirectos, incidentales, especiales o consecuentes o daños que resulten de cualquier traducción incompleta o incorrecta.
* Este Contrato se regirá por la legislación de Hungría. Cualquier litigio que surja de él, incluidos los litigios relativos a la validez, interpretación o fin del Contrato, serán juzgados exclusivamente y en última instancia por un Tribunal de Arbitraje Permanente formado por la Cámara de Comercio e Indútria Húngara, en Budapest, de acuerdo con sus propias reglas de procedimiento. El lugar de jurisdicción será Budapest.
10.2. DISPOSICIONES ESPECIALES REFERENTES AL MODO BIMcloud DEL SOFTWARE
* A menos que se disponga otra cosa, los términos y condiciones del presente Acuerdo serán aplicables a las funcionalidades adicionales del Software y de los servicios y contenidos prestados a Usted en relación con el Software (como, en particular, el "SSA").
* Con el fin de utilizar y gestionar la LLAVE SOFTWARE, Usted reconoce que Usted necesita tener una ID de GRAPHISOFT válida, que se obtendrá de GRAPHISOFT en https://graphisoftid.graphisoft.com .

GRAPHISOFT SOFTWARE LICENSE AGREEMENT
GRAPHISOFT SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("GRAPHISOFT") licenses this Software to You, an individual or as the representative of and on behalf of Your employer (collectively referred to as "You") only upon the condition that You accept all of the terms contained in this Software License Agreement ("Agreement").
GRAPHISOFT licenses this Software to You including Your employees, agents and other contract partners (collectively referred to as “Authorized User(s)”). By accepting the terms of this Software License Agreement, You expressly declare and confirm that You have the full power and capacity to represent Yourself, Your Authorized User(s), Your employer and/or the entity on behalf of which You are acting (if any). Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.
This Agreement constitutes a non-exclusive, non-transferable, non-sublicenseable, limited license for You to use the enclosed Software and associated documentation, together with the upgrades, updates, new versions and fixes provided to You by GRAPHISOFT (together referred to as the "Software"). The Software is licensed, not sold, to You exclusively for Your own use under the terms and conditions of this Agreement.
The term "Software" includes the following software products and their components:
The Software is owned by GRAPHISOFT and protected by all applicable copyright laws. To the maximum extent permitted by applicable laws, GRAPHISOFT reserves all rights to the Software not expressly granted hereunder and to any reproduction of the Software including its documentation, logos, trademarks, icons and interface in whole or in part. If You copy or use all or any portion of the Software without entering into this Agreement or obtaining the prior written permission of GRAPHISOFT or in non-compliance with any of the terms of this Agreement, You or Your Authorized User(s) are violating copyright or other intellectual property law, and You may be liable to GRAPHISOFT and its licensors in particular for damages, and You may be subject to criminal penalties.
YOU MAY USE YOUR COPY OF THE SOFTWARE EITHER IN BIMcloud MODE, OR IN BIMcloud Basic MODE.
YOU ARE ENTITLED TO USE THE BIMcloud MODE ONLY IF YOU HAVE PURCHASED AND CONNECTED THE HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR INSTALLED THE SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY) TO YOUR COMPUTER.
IF YOU LACK ALL THE PROPER AUTHORIZATIONS (FOR EXAMPLE HARDWARE KEY, SOFTWARE KEY) FOR THE USAGE OF THE SOFTWARE, YOU MAY USE THE SOFTWARE ONLY IN BIMcloud Basic MODE.
2. INTERNET-BASED AND NON-INTERNET BASED SERVICE COMPONENTS
2.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* The Software may contain components that enable and facilitate the use of certain Internet-based and non-Internet based services. You acknowledge and agree that GRAPHISOFT may automatically check the operation mode, version of the Software and/or its components, its HARDWARE KEY serial number (if any), the SOFTWARE KEY serial number (if any) and the related services that You are utilizing in order to check that You are utilizing the Software according to its purpose, and may provide upgrades, fixes or additional services to the Software in order to advance lawful and improved operation thereof at GRAPHISOFT's sole discretion. GRAPHISOFT shall not be liable for any loss of data or malfunctioning of the Software occurring in connection with GRAPHISOFT's conduct under this paragraph.
* The Software may contain technological measures that are designed to prevent and detect unlicensed use of the Software. Utilizing the Software, You will also install these technical protection measures (hereinafter the "TPM") used by GRAPHISOFT or its foreigner suppliers to collect, transmit and use for law enforcement purposes technical data from Your computer (hereinafter the "Technical Data") in order to prevent and detect unlicensed use of the Software and enforce GRAPHISOFT's intellectual property rights.
* You hereby expressly accept that GRAPHISOFT or its assignee will use TPM to confirm that You have a legally licensed copy of the Software and that You and Your Authorized User(s) use the Software according to the terms and conditions of this Agreement.
If GRAPHISOFT finds that You or Your Authorised User(s) are not using a licensed copy of the Software, or that Your and Your Authorised Users use of the Software infringes the terms and conditions of this Agreement, this qualifies as material breach of this Agreement that gives GRAPHISOFT the right to terminate this Agreement with immediate effect without notice and You shall be obliged to compensate GRAPHISOFT for its damages and expenses occurring in connection with the unlawful usage and the breach of this Agreement, and GRAPHISOFT shall be entitled to enforce other rights and claims under the governing laws in force, furthermore You will not be allowed to install future updates of the Software.
You acknowledge that You are solely responsible for the compliance of Your Authorized Users with this Agreement and all the other applicable rules required by GRAPHISOFT in connection with the use of the Software.
If GRAPHISOFT finds that any of Your Authorized Users is using the Software in a non-compliant manner You shall compensate GRAPHISOFT for any all damages arising from such unlawful use.
In case of infringement of any provisions of this Agreement made by Your Authorized User, You expressly acknowledge that GRAPHISOFT will take the necessary measures in order that the infringement be terminated and to enforce Your Authorized User to comply with the provisions of this Agreement.
If Your Authorized User copies or uses the Software without entering into this Agreement or obtaining the prior written permission of You or in any other non-compliance with the terms of this Agreement, You are violating copyright, intellectual property law and criminal law in which case both You and the Authorized User shall be liable to GRAPHISOFT in particular for damages, and You and the Authorized User may also be subject to criminal penalties.
2.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* You acknowledge that GRAPHISOFT shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.
3. INFORMATION AND CONSENT TO USE OF PERSONAL DATA
* Pursuant to the applicable law in force concerning the protection of personal data, by entering into this Agreement You accept that Your personal data (including those Technical Data collected and used by the TPM system) will be collected and processed by GRAPHISOFT for the purposes related to the execution of this Agreement, including the fulfillment of Your obligations, such as those related to GRAPHISOFT's intellectual property rights.
* In line with the above in particular the following data processing take place under the respective terms and conditions:
- BIMcloud processes the following data: GRAPHISOFT ID of person activating BIMcloud, operational system data (such as OS name, build, architecture, platform), BIMcloud Server ID generated at installation, time of activation, BIMcloud version, time of data collection, number of BIMcloud users, number of BIMcloud Projects, number of BIMcloud Libraries, number of LDAP connections, time of last server activity, number of licenses, hardware key's serial number, permission mode.
- Purpose of data processing: improvement of the software and providing information on relevant functionalities and services.
- Legal base of data processing: the legitimate interest of GRAPHISOFT under point f. of Article 6(1) GDPR.
- Duration of the data processing: GRAPHISOFT deletes all data within 3 years following the end of the BIMcloud subscription.
* You expressly acknowledge that Your personal data processed under this Agreement will be processed, either manually or with the help of electronic or automated means, in such a way as to minimize, by means of suitable security measures, the risk of unauthorized access or disclosure of Your data. Your personal data will be processed during the term of this Agreement in relation to its purposes, also in order to prevent unlicensed use of the Software. For the above purposes Your personal data can be disclosed to third parties (service providers, consultants, collaborators, a list of which is available from within the Privacy Policy), either to other EEA or third countries, pursuant to the scope of this Agreement and any applicable law. In the event of any data transfers to third countries, GRAPHISOFT always uses suitable safeguards (such as the standard contractual clauses adopted by the European Commission, the EU-US Privacy Shield and similar instruments) to ensure the adequate protection of personal data. GRAPHISOFT reserves the right to disclose Your personal data to the competent legal authority if required to do so to enforce or defend its rights or legitimate interests before civil and criminal courts, regulatory bodies, or to execute an order of the competent judicial or regulatory authority. As End User of the Product, You have the right to access the personal data processed by GRAPHISOFT, to obtain the updating or rectification of such data. You also have the right to obtain the erasure of any personal data if, for instance, such data have either been processed unlawfully or are no longer necessary for the purposes for which they were collected or otherwise processed. In certain cases, such as when the processing is unlawful and you oppose the erasure of your data, you have the right to obtain from GRAPHISOFT the restriction of processing. You also have the right to receive the personal data concerning you, which you provided to GRAPHISOFT, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller. Of course, in such cases you also have the right to lodge a complaint with the Hungarian Data Protection and Freedom of Information Authority ( http://naih.hu/general-information.html ) or another data protection supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement.
* If applicable, You ensure and warrant to us that Your employee and Your Authorized User has been duly informed of the collection, processing, transfer and usage of his/her personal information by GRAPHISOFT as per the above, and shall indemnify and hold GRAPHISOFT harmless from and against any related third party claims.
* The detailed rules regarding the various rights and obligations related to GRAPHISOFT's data collection, use, transfer, handling, processing, including your subject access rights and rights to legal redress, are set forth in the Privacy Policy constituting an inseparable part of this Agreement available at https://graphisoft.com/legal/privacy-policy .
The license granted by this Agreement is subject to the License Parameters defined hereinafter:
BIMcloud offers both free and paid features: The collection of free features is called BIMcloud Basic, the paid version is called BIMcloud.
* BIMcloud Basic requires a one -time activation of the installed BIMcloud Manager using a valid GRAPHISOFT ID of the customer.
* The Software enables You to install the following software product together:
* Special Conditions: BIMcloud Basic's usage is limited to local area networks (LAN / VPN). Using BIMcloud Basic over wide area networks (WAN / Internet) is strictly forbidden. BIMcloud Basic can be installed on on-premise hardware only. BIMcloud Basic is not allowed to be installed on / operated from cloud based virtual computers.
* These components must be installed on the same computer.
* BIMcloud Basic can work with a single Archicad version only, which must be selected during the configuration process and cannot be changed later.
* If you wish to work with more than one Archicad version, then multiple BIMcloud Basics can be installed on the same (or different) computer(s)
* The software will allow you to use only the free features provided with the BIMcloud Basic.
* GRAPHISOFT reserves the right to modify BIMcloud Basic's free feature set including adding new features or removing features which were previously free.
* You may connect an unlimited number of Clients at any time to a BIMcloud Basic
* BIMcloud Basic can be upgraded to a paid BIMcloud to enable all free and paid features, see BIMcloud license
* The Software consists of several computer programs downloadable from a website, HARDWARE KEY(s) or authorization key necessary for the SOFTWARE KEY installation and accompanying documentation and packaging.
* The Software enables You to install the following software products:
* In order to be able to connect with a Client (e.g. Archicad, BIMx or the browser based BIMcloud Manager user interface) to BIMcloud and access the data stored on BIMcloud Servers, You must have a valid BIMcloud User License. You must purchase the licenses in a number equal to the concurrent Client-BIMcloud connections You want.
As stated, the Software is owned by GRAPHISOFT and all rights to access the data stored, shared or managed by the Software represent the undivided intellectual property of GRAPHISOFT. Therefore, client access is licensed and protected by all applicable copyright laws as BIMcloud User License, and it is an integral part of this agreement. To the maximum extent permitted by applicable laws, GRAPHISOFT reserves all rights to license the data access rights under the name of BIMcloud User License not expressly granted hereunder and to any reproduction, manipulation of the Software or data access including its documentation, logos, trademarks, icons and interface in whole or in part.
* The BIMcloud User License is an annual subscription license. BIMcloud User Licenses will automatically expire at the end of their annual terms unless the Client expressly renew them. This renewal is essential in order to continue to access BIMcloud from Client applications.
* Accessing data on BIMcloud by multiple types of devices simultaneously (e.g.: computer, tablet (mobile device) or smart phone (mobile device)) by a single user requires only one BIMcloud User License per user, which may be used with a maximum of three devices as follows: two mobile devices and one computer, or one mobile device and two computers.
* BIMcloud provides a built-in emergency BIMcloud User License, when the subscription licenses expire or the authorization key is not accessible. This license can be used for backup purposes only and shall not be used for production.
* You expressly agree that BIMcloud User Licenses may only be assigned to real individuals. Under no circumstances may several individuals share the same BIMcloud User License to simultaneously access and author data on the BIMcloud.
* You may install the BIMcloud Manager on a single computer to administer the BIMcloud Server(s) locally or remotely.
* You may connect an unlimited number of BIMcloud Servers to the BIMcloud Manager.
* You may connect a limited number of Clients (equivalent to the number of valid BIMcloud User licenses you have) at any time to a BIMcloud).
* You may make backup copies of BIMcloud Manager in machine-readable form.
* You may install the BIMcloud Server in unlimited instances.
* You may make backup copies of each BIMcloud Server(s) in machine-readable form.
* You may install the BIMcloud Delta Cache in unlimited instances.
* You may make backup copies of the BIMcloud Delta Cache in machine-readable form.
5.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever.
* You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software.
* You may not use the Software for development, compilation, debugging and similar design-time purposes.
* You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software.
* You may not copy any written materials accompanying the Software.
* You are expressly prohibited from dividing Your license and reselling part(s) of it.
* You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by GRAPHISOFT.
* NON-PROVISIONING clause: Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing and provisioning services such as 'Software as a Service' or 'Platform as a Service' (e.g.: 'BIMcloud as a Service' in case of BIMcloud Manager, BIMcloud Server or BIMcloud Delta Cache products and 'Archicad as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services.
* You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner.
In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to GRAPHISOFT to immediately terminate this Agreement, and GRAPHISOFT will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions. In addition, GRAPHISOFT shall be entitled to enforce payment for its damages as well as other rights and claims under the governing laws in force resulting from your breach of this Agreement.
* Unless You make your own copy of the Software totally unusable, You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part. You hereby accept that in case of any type of transfer of the Software by You, this Agreement automatically ceases to exist on the effective date of the transfer and You shall lose all rights arising from this Agreement.
5.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* In case of a resold license, You, i.e. the purchaser of the resold Software, shall be required to re-register the Software with GRAPHISOFT's appointed local partners, pay the applicable fees and enter into the applicable Software Support Agreement in order to be entitled to any updates, upgrades, support, etc.
You hereby agree that - in addition to any other license compliance checking set forth in this Agreement or elsewhere - GRAPHISOFT has the right to visit You and Your Authorized User at the premises where You use the Software upon 7 (seven) days prior written notice in order to check Your records, systems, facilities to verify that Your use of the Software is fully in line with the provisions of this Agreement and with the applicable rules of law. GRAPHISOFT may also appoint a third party to exercise its audit rights. You hereby agree to fully cooperate with GRAPHISOFT in order to successfully perform this verification among others by providing GRAPHISOFT with all requested information and documents.
* GRAPHISOFT may terminate this Agreement with immediate effect without notice following breach of any part of the Agreement. The actual or attempted violation of any of the provisions of the LICENSE PARAMETERS or RESTRICTIONS, as set out above, shall be a material breach of this Agreement giving the right to GRAPHISOFT to terminate this Agreement with immediate effect.
* Upon termination by GRAPHISOFT You are obliged to compensate GRAPHISOFT for its damages and expenses occurring in connection with the breach of this Agreement and GRAPHISOFT shall be entitled to enforce other rights and claims under the governing laws in force.
* In case of termination for any reason, under no circumstances will GRAPHISOFT be liable for reimbursing the price of the Software (if any) or for any other damages.
* This Agreement remains in effect until it is terminated.
* Upon termination, You must destroy the Software and all copies of it and send back the HARDWARE KEY to the local partner of GRAPHISOFT or to the place where You purchased the Software or, if the foregoing is not available or will not accept the HARDWARE KEY, You must return the HARDWARE KEY directly to GRAPHISOFT. You must uninstall the SOFTWARE KEY with the license programming application.
8.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE
* No advice or information given by GRAPHISOFT employees, its distributors, resellers, agents, or consultants shall constitute a warranty by GRAPHISOFT or extend the warranty in this Agreement. This Agreement and the warranty provided herein may only be modified by a written amendment signed by a duly authorized executive officer of GRAPHISOFT.
* In no event shall GRAPHISOFT be liable for any loss or damages whatsoever, including but not limited to loss of data, damages for lost income, business interruption, loss of business information, or other special, incidental, consequential, exemplary, multiple, or indirect damages or other pecuniary loss, arising from the use or misuse of the Software, or otherwise under this Agreement, even if GRAPHISOFT or its employees, resellers, or agents have been advised or should have known of the possibility of such damages. In no event will GRAPHISOFT's aggregate liability for any breach of this Agreement, use of the Software or otherwise, exceed the amounts actually paid by You to GRAPHISOFT for this copy of the Software, except as otherwise required by applicable statutory law.
* You accept and confirm that the price of the Software (if any) or the free of charge provision of the Software and the conditions of this Agreement advantageous to You hereof have been determined in consideration of the above provisions on limited warranty.
8.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* GRAPHISOFT warrants that - if You receive a HARDWARE KEY to the Software - the HARDWARE KEY will be free of defects for a period of 1 year from the original date of the Software's first sale by GRAPHISOFT/a GRAPHISOFT partner as indicated on the purchase receipt.
* GRAPHISOFT warrants that - if the Software is delivered on DVD(s) - the DVDs on which the Software are delivered will be free from defects for a period of 90 days from the original date of purchase as indicated by Your purchase receipt.
* This limited warranty is void if the failure of the DVDs or HARDWARE KEY in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.
* The limited warranty period commences on the date that the Software was first purchased from GRAPHISOFT or a GRAPHISOFT partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).
* If, within the warranty period, Your DVDs or HARDWARE KEY prove defective, GRAPHISOFT's entire liability and Your exclusive remedy shall be, at GRAPHISOFT's option, to:
- replace the defective DVDs or HARDWARE KEY free of charge provided that they are returned to GRAPHISOFT along with a proof of purchase, or
- refund the price paid for the replacement license. Any replacement DVD or HARDWARE KEY will be warranted for 90 days from the date that the replacement was shipped to You.
* You expressly accept that - to the maximum extent permitted by the applicable rules of law - GRAPHISOFT excludes any warranty related to the SOFTWARE KEY. If Your SOFTWARE KEY is destroyed or damaged for any reason, You must re-purchase the SOFTWARE KEY under the current conditions.
* EXCEPT FOR THE LIMITED WARRANTIES ON THE MEDIA AND THE HARDWARE KEY, THE SOFTWARE IS SOLD "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.
9. OWNERSHIP OF LOADED CONTENT, THIRD PARTY MATERIALS, SERVICES
* All title, ownership rights, and proprietary rights in and to the information and other content (e.g. commercial and 3rd party add-ons) loaded into the Software from any electronic media or Internet by operation of the Software (collectively, "Content") is the property of the applicable Content owner, including, without limitation, Supplier, its affiliates, and any Internet Content providers ("Content Providers"). This Agreement does not give You ownership or any other rights with respect to any such Content and GRAPHISOFT does not undertake any liability for any such Content.
* You accept that the use of some GRAPHISOFT products and some third party materials and services included in or accessed through the Software are subject to other terms and conditions found in separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement.
* You accept that the use of some GRAPHISOFT and some third party materials, software and services accessed, used with the help of the Software, may be subject to other terms and conditions found in separate agreement(s) not appearing at the link indicated above, for which GRAPHISOFT does not assume any liability. GRAPHISOFT also does not assume any liability for the co-operation of the Software with third party materials, software and services or for the operation and use of third party materials, software and services.
10. GENERAL AND CLOSING CONDITIONS
10.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* This Agreement DOES NOT give You the right to any technical support for, or upgrades to, the Software which GRAPHISOFT may offer from time to time. GRAPHISOFT may, at its option and as part of its sales and marketing policy, make such technical support and upgrades available to registered users of the Software under terms to be determined from time to time by GRAPHISOFT or its distributors.
* You accept that GRAPHISOFT may unilaterally modify any term of this Agreement with or without notice to You. You agree that GRAPHISOFT shall not be liable to you or anyone else for any negative effect deriving from such modifications.
* This Agreement constitutes the full, complete agreement between You and GRAPHISOFT concerning the Software and supersedes all prior agreements and understandings, either written or oral. Unless otherwise communicated to You by GRAPHISOFT in writing, the conditions of this Agreement shall apply to the installation and use of additional functions of the Software and to the repair of the Software's installation.
* If any part or provision of this Agreement is found to be contrary to law by a competent jurisdiction, that part or provision shall be enforced to the maximum extent allowed, and the remaining Agreement shall remain in full force and effect.
* The English version of this Agreement will be the governing version used when interpreting or construing this Agreement. Any translations thereof shall exclusively be provided for information purposes without any binding force and in no event shall GRAPHISOFT be liable for any direct, indirect, incidental, special or consequential damages or damages whatsoever resulting from any incorrect, incomplete translations.
* This Agreement is governed by the laws of Hungary. Any disputes arising from this Agreement, including those disputes relating to the validity, interpretation or termination of the Agreement, shall be exclusively and finally settled by the Permanent Arbitrate Tribunal formed beside the Hungarian Chamber of Commerce and Industry, Budapest, in accordance with its own rules of procedure. The place of jurisdiction shall be in Budapest.
10.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE
* Unless otherwise provided, the terms and conditions of this Agreement shall be applicable to the additional functionalities of the Software and to the services and content provided to You in relation to the Software (such as in particular the "SSA").
* In order to use and manage the SOFTWARE KEY (if any), You acknowledge that You need to have a valid GRAPHISOFT ID, to be obtained from GRAPHISOFT at https://graphisoftid.graphisoft.com .
