GRAPHISOFT YAZILIM LİSANS SÖZLEŞMESİ
GRAPHISOFT SE Özel Avrupa Hisseli Limited Şirketi, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("GRAPHISOFT") birey olarak veya firmanızın temsilcisi olarak adınıza, ancak Yazılım Lisans Sözleşmesini ("Sözleşme") kabul etmeniz koşuluyla, lisanslar.
GRAPHISOFT bu Yazılımı çalışanlarınız, temsilcileriniz ve diğer sözleşmeli ortaklarınız (toplu halde "Yetkili Kullanıcı(lar)" olarak anılır) dahil Size lisanslar.Bu Yazılım Lisans Sözleşmesinin şartlarını kabul ederek, Kendinizi, Yetkili Kullanıcı(ları)nızı, İşvereninizi ve/veya adına hareket ettiğiniz varlığı (varsa) temsil etmek için tam yetkiye ve yeterliliğe sahip olduğunuzu açıkça beyan ve teyit edersiniz.Bu beyanın yanlış olduğu ortaya çıkarsa, Sözleşme kapsamındaki bütün yükümlülüklerden kişisel olarak Siz sorumlu olacaksınız.
Bu Sözleşme ekteki Yazılımı ve ilişkili dokümantasyonu ve beraberinde GRAPHISOFT'un Size sağladığı terfileri, güncellemeleri, yeni sürümleri ve düzeltmeleri (hep birlikte "Yazılım" olarak anılacaktır) kullanmanız için münhasır olmayan, devredilemeyen, alt lisanslanamayan, sınırlı bir lisans teşkil eder. Yazılım size bu Sözleşmenin şartları ve koşulları altında münhasıran Size kendi kullanımınız için lisanslanır, satılmaz.
"Yazılım" terimi, aşağıdaki yazılım ürünlerini ve bileşenlerini içerir:
GRAPHISOFT yazılımın sahibidir ve yazılım yasalarca korunmaktadır. Yasaların izin verdiği ölçüde, GRAPHISOFT'un yazılımın, dokümantasyonun, logoların, markaların, ikonların ve arayüzlerin tümünün veya bir bölümünün çoğaltılmasına dair tüm hakları saklıdır. Bu Sözleşmeye taraf olmadan ya da önceden GRAPHISOFT'un yazılı iznini almadan ya da bu Sözleşmenin şartlarından herhangi birini ihlal ederek bu Yazılımın herhangi bir kısmını ya da tümünü kopyalar ya da kullanırsanız, Siz ve Yetkili Kullanıcı(ları)nız telif hakkını ya da diğer fikri mülkiyet yasalarını ihlal ediyorsunuz ve GRAPHISOFT'a ve lisans verenlerine özellikle zararlar için yükümlü olabilirsiniz ve suç cezalarına tabi olabilirsiniz.

ANCAK YAZILIM TABANLI KORUMA ANAHTARINI (DONANIM ANAHTARI) SATIN ALMIŞ VE BİLGİSAYARINIZA BAĞLAMIŞSANIZ YA DA YAZILIM TABANLI KORUMA ANAHTARINI (YAZILIM ANAHTARI) BİLGİSAYARINIZA YÜKLEMİŞSENİZ BIMcloud MODU KULLANMAYA HAKKINIZ VARDIR.
EĞER YAZILIMIN KULLANIMI İÇİN BÜTÜN YETKİLERDEN (YANİ DONANIM ANAHTARI, YAZILIM ANAHTARI) YOKSUNSANIZ, YAZILIMI BIMcloud Basic MODUNDA KULLANABİLİRSİNİZ.
2. İNTERNET TABANLI VE İNTERNET TABANLI OLMAYAN HİZMET BİLEŞENLERİ
2.1. GENEL HÜKÜMLER - YAZILIMIN BIMcloud MODU VE BIMcloud Basic MODU İÇİN GEÇERLİ:
* Yazılım bazı İnternet tabanlı ve İnternet tabanlı olmayan hizmetlerin kullanımını etkinleştiren ve kolaylaştıran bileşenler içerebilir. GRAPHISOFT'un Yazılımın işletim modunu, sürümünü ve/veya bileşenlerini, DONANIM ANAHTARI seri numarasını (varsa), YAZILIM ANAHTARI seri numarasını (varsa) ve yararlandığınız ilgili hizmetleri Yazılımdan amacına göre yararlandığınızı kontrol etmek için otomatik olarak kontrol edebileceğini ve tamamen GRAPHISOFT'un takdirine bağlı olarak Yazılımın kanuni ve geliştirilmiş işletimini ilerletmek için Yazılıma terfiler, düzeltmeler veya ek hizmetler sağlayabileceğini onaylar ve kabul edersiniz. GRAPHISOFT'un bu paragraf altındaki davranışlarıyla bağlantılı olarak meydana gelen herhangi bir veri kaybından ya da Yazılımın hatalı işlemesinden GRAPHISOFT sorumlu olmayacaktır.
* Yazılım, Yazılımın lisanssız kullanımını önlemek ve tespit etmek için tasarlanmış teknolojik önlemler içerebilir. Yazılımı kullanarak, GRAPHISOFT ya da yabancı tedarikçileri tarafından Yazılımın lisanssız kullanımını önlemek ve tespit etmek ve GRAPHISOFT'un fikri mülkiyet haklarını yürürlüğe koymak için bilgisayarınızdaki teknik verileri (bundan böyle "Teknik Veriler") toplamak, aktarmak ve hukuki yaptırım amacıyla kullanmak üzere kullanılan bu teknik koruma önlemlerini (bundan böyle "TKÖ") da yükleyeceksiniz.
* Burada GRAPHISOFT'un ya da vekilinin Yazılımın yasal olarak lisanslanmış bir kopyasına sahip olduğunuzu ve Sizin ve Yetkili Kullanıcı(ları)nızın Yazılımı bu Sözleşmenin şart ve koşullarına göre kullandığınızı teyit etmek için TPM'yi kullanacağını açıkça kabul edersiniz.
GRAPHISOFT Sizin ya da Yetkili Kullanıcı(ları)nızın Yazılımın lisanslı bir kopyasını kullanmadığınızı ya da Sizin ve Yetkili Kullanıcılarınızın Yazılımı kullanımının bu Sözleşmenin şart ve koşullarını ihlal ettiğinizi bulursa, bu, bu Sözleşmenin esaslı ihlali olarak nitelendirilir ve GRAPHISOFT'a bu Sözleşmeyi bildirimde bulunmadan derhal yürürlüğe girecek şekilde feshetme hakkı verir ve Siz GRAPHISOFT'u bu Sözleşmenin yasadışı kullanımı ve bu Sözleşmenin ihlaliyle bağlantılı olarak meydana gelen zararları ve harcamaları için tazmin etmeye zorunlu olursunuz ve GRAPHISOFT yürürlükteki geçerli kanunlar kapsamındaki diğer haklarını ve taleplerini yürürlüğe koyma hakkına sahip olacaktır, dahası Sizin Yazılımın gelecekteki güncellemelerini yüklemenize izin verilmez.
Yetkili Kullanıcılarınızın bu Sözleşmeye ve GRAPHISOFT'un bu Yazılımın kullanımıyla bağlantılı olarak gerektirdiği bütün diğer geçerli kurallara uymasından tek başınıza sorumlu olduğunuzu kabul edersiniz.
GRAPHISOFT Yetkili Kullanıcılarınızın herhangi birinin Yazılımı uygun olmayan bir şekilde kullandığını fark ederse GRAPHISOFT'u bu yasadışı kullanımdan kaynaklanan herhangi bir ve her türlü hasar için tazmin edeceksiniz.
Bu Sözleşmenin herhangi bir hükmünün Yetkili Kullanıcınız tarafından ihlal edilmesi halinde, GRAPHISOFT'un ihlalin sonlandırılması için gerekli önlemleri alacağını ve Yetkili Kullanıcınızı bu Sözleşmenin hükümlerine uymaya zorlayacağınızı açıkça kabul edersiniz.
Yetkili Kullanıcınız bu Sözleşmeye taraf olmadan ya da önceden Sizin yazılı izninizi almadan ya da bu Sözleşmenin şartlarına başka herhangi bir şekilde uymadan Yazılımı kopyalar ya da kullanırsa, telif hakkı, fikri mülkiyet yasaları ve ceza yasalarını ihlal ediyorsunuzdur, bu durumda hem Siz hem de Yetkili Kullanıcınız GRAPHISOFT'a özellikle zararlar için yükümlü olursunuz ve Siz ve Yetkili Kullanıcınız suç cezalarına da tabi olabilirsiniz.
2.2. YAZILIMIN BIMcloud MODUYLA İLGİLİ ÖZEL HÜKÜMLER:
* GRAPHISOFT'un Donanım ya da Yazılım anahtarınızın ticari sürümde olup olmadığını, çalınma, bozulma veya değiştirilme vb. farklı nedenlerle zaman zaman kontrol edebileceğini kabul etmiş oluyorsunuz.
3. KİŞİSEL VERİLERİ KULLANMAK İÇİN BİLGİ VE RIZA
* Kişisel verilerin korunmasıyla ilgili yürürlükte olan geçerli kanunlar uyarınca, bu Sözleşmeye taraf olarak kişisel verilerinizin (TPM sistemi tarafından toplanan ve kullanılanlar dahil) GRAPHISOFT tarafından GRAPHISOFT'un fikri mülkiyet haklarıyla ilişkili olanlar gibi yükümlülüklerinizin yerine getirilmesi de dahil bu Sözleşmenin yürütülmesiyle ilişkili amaçlarla toplanacağını ve işleneceğini kabul edersiniz.
* Yukarıdakilere uygun olarak özellikle şu veri işlemleri ilgili şartlar ve koşullar kapsamında gerçekleşir:
- BIMcloud şu verileri işler: BIMcloud'u etkinleştiren kişinin GRAPHISOFT Kimliği, işletimsel sistem verileri (işletim sistemi adı, yapısı, mimarisi, platformu gibi), kurulumda üretilen BIMcloud Server Kimliği, etkinleştirme zamanı, BIMcloud sürümü, veri toplama zamanı, BIMcloud kullanıcılarının sayısı, BIMcloud Projelerinin sayısı, BIMcloud Kütüphanelerinin sayısı, LDAP bağlantılarının sayısı, son sunucu etkinliği zamanı, lisans sayısı, donanım anahtarının seri numarası, izin modu.
- Veri işlemenin amacı: yazılımın iyileştirilmesi ve ilgili işlevler ve hizmetler hakkında bilgi sağlanması.
- Veri işlemenin yasal dayanağı: GRAPHISOFT'un GDPR'nin 6(1) Maddesinin f noktası kapsamındaki meşru çıkarı.
- Veri işlemenin süresi: GRAPHISOFT BIMcloud aboneliğinin sona ermesinden sonraki 3 yıl içinde bütün verileri siler.
* Bu Sözleşme kapsamında işlenen kişisel verilerinizin ya elle ya da elektronik ya da otomatik yöntemler yardımıyla, uygun güvenlik önlemleri yoluyla verilerinizin yetkisiz erişime maruz kalması ya da açıklanması riskini en aza indirecek bir şekilde işleneceğini açıkça kabul edersiniz. Kişisel verileriniz bu Sözleşmenin süresi boyunca amaçlarıyla ilişkili olarak, ayrıca Yazılımın lisanssız kullanımını önlemek için işlenecektir. Yukarıdaki amaçlarla kişisel verileriniz bu Sözleşmenin ve herhangi bir geçerli kanunların kapsamı uyarınca üçüncü taraflara (hizmet sağlayıcılar, danışmanlar, işbirliği yapanlar, bunların listesi Gizlilik Politikası içinde mevcuttur), ya diğer AEA ülkelerine ya da üçüncü ülkelere açıklanabilir. Üçüncü ülkelere herhangi bir veri aktarımı yapılması halinde, GRAPHISOFT kişisel verilerin yeterli korunmasını sağlamak için daima uygun güvenlik önlemlerini (Avrupa Komisyonu'nun, AB-ABD Gizlilik Kalkanı'nın ve benzer belgelerin benimsediği standart sözleşme maddeleri gibi) kullanır. GRAPHISOFT sivil mahkemeler ya da ceza mahkemeleri, düzenleyici kuruluşlar önünde mahkeme haklarını ya da meşru çıkarlarını yürürlüğe koymak ya da savunmak için ya da yetkin adli ya da düzenleyici mercilerin bir emrini uygulamak için yapması gerekirse yetkin yasal mercilere kişisel verilerinizi açıklama hakkını saklı tutar. Ürünün Son Kullanıcısı olarak, GRAPHISOFT'un işlediği kişisel verilere erişme, bu verilerin güncellenmesini ya da düzeltilmesini sağlama hakkınız vardır. Ayrıca örneğin bir kişisel verileriniz yasadışı olarak işlenmişse ya da toplanma ya da başka şekilde işlenme amacı için artık gerekli değilse o kişisel verinin silinmesini sağlama hakkına da sahipsiniz. Belirli durumlarda, örneğin işleme yasadışı olduğunda ve verilerinizin silinmesine karşı çıktığınızda, GRAPHISOFT'tan işletmenin kısıtlanmasını sağlama hakkına sahipsiniz. Ayrıca GRAPHISOFT'a sağladığınız sizinle ilgili kişisel verileri yapılandırılmış, yaygın olarak kullanılan ve makine tarafından okunabilen bir formatta alma hakkına ve o verileri başka bir kontrolcüye aktarma hakkına da sahipsiniz. * Geçerliyse, Çalışanınızın ve Yetkili Kullanıcınızın kişisel bilgilerinin yukarıdakilere göre toplanması, işlenmesi, transfer edilmesi ve kullanılması hakkında usulen bilgilendirildiğini ve GRAPHISOFT'u ilgili herhangi bir üçüncü taraf talebinden ve talebine karşı tazmin edeceğinizi ve ber'i kılacağınızı temin eder ve bize garanti edersiniz.
* GRAPHISOFT'un verileri toplaması, kullanması, aktarması, ele alması, işlemesiyle ilişkili konu erişim haklarınız ve yasal çare haklarınız da dâhil çeşitli hak ve yükümlülüklerle ilgili ayrıntılı kurallar bu Sözleşmenin ayrılmaz bir parçasını oluşturan ve https://graphisoft.com/legal/privacy-policy sayfasında bulunan Gizlilik Politikasında ortaya koyulmuştur.
Bu Sözleşme tarafından onaylanan lisans aşağıda tanımlanan Lisans Şartlarına tabidir:
BIMcloud hem ücretsiz, hem de ücretli özellikler sunar: Ücretsiz hizmetler koleksiyonu BIMcloud Basic, ücretli versiyon BIMcloud adını taşır.
BIMcloud Basic - Ücretsiz Lisans
* BIMcloud Basic yüklenen BIMcloud Manager'ın müşterinin geçerli bir GRAPHISOFT ID'si kullanılarak tek seferliğine etkinleştirilmesini gerektirir.
* Yazılım birlikte aşağıdaki özelikleri yüklemenize olanak sağlar:
* Özel Koşullar: BIMcloud Basic kullanımı yerel alan ağları (LAN / VPN) ile sınırlıdır. BIMcloud Basic'i geniş alan ağları (WAN / Internet) üzerinden kullanmak kesinlikle yasaktır. BIMcloud Basic yalnızca şirket içi donanımlara kurulabilir. BIMcloud Basic'in bulut tabanlı sanal bilgisayarlara yüklenmesine / bu bilgisayarlardan çalıştırılmasına izin verilmez.
* Bu bileşenler aynı bilgisayara yüklenmelidir.
* BIMcloud Basic sadece tek bir Archicad sürümüyle çalışabilir; bu sürüm yapılandırma işlemi sırasında seçilmelidir ve daha sonra değiştirilemez.
* Birden fazla Archicad sürümüyle çalışmak istiyorsanız, aynı bilgisayara (ya da farklı bilgisayarlara) birden fazla BIMcloud Basic yüklenebilir.

* Herhangi bir anda bir BIMcloud Basic'e sınırsız sayıda Müşteri bağlayabilirsiniz.
* BIMcloud Basic bütün ücretsiz ve ücretli özellikleri etkinleştirmek için ücretli bir BIMcloud'a terfi edilebilir, BIMcloud lisansına bakın.
* Yazılım bir web sitesinden indirilebilen bazı yazılım programlarından, DONANIM ANAHTAR(lar)ından ya da YAZILIM ANAHTARI'nın yüklenmesi için gerekli yetki anahtarından ve eşlik eden dokümantasyon ve ambalajdan oluşur.
* Yazılım, aşağıdaki yazılım ürünlerini kurmanıza imkan verir:
* BIMcloud'a bir İstemci (örn. Archicad, BIMx veya tarayıcı tabanlı BIMcloud Manager kullanıcı arayüzü ile) bağlanmak ve BIMcloud Server'larında kayıtlı verilere erişebilmek için, geçerli bir BIMcloud Kullanıcı Lisansına sahip olmalısınız. Lisansları istediğiniz eş zamanlı İstemci-BIMcloud bağlantılarıyla eşit bir sayıda satın almalısınız.
Belirtildiği üzere, Yazılım GRAPHISOFT mülkiyetindedir ve Yazılımın depoladığı, paylaştığı ya da yönettiği verilere erişmek için bütün haklar GRAPHISOFT'un bölünmemiş fikri mülkiyetini temsil eder. Dolayısıyla istemci erişimi, BIMcloud Kullanıcı Lisansı olarak lisanslanmış ve geçerli bütün telif haklarıyla korunmuştur ve bu sözleşmenin ayrılmaz bir parçasıdır. Geçerli kanunların izin verdiği azami mertebede, GRAPHISOFT, BIMcloud Kullanıcı Lisansı adı altında bu kapsamda açıkça verilmemiş ve Yazılımın herhangi bir çoğaltımı, manipülasyonuna ve tamamen ya da kısmen dokümantasyonu, logoları, ticari markaları, ikonları ve arayüzü dâhil veri erişimine yönelik veri erişim haklarını lisanslamak için tüm hakları saklı tutar.
* BIMcloud Kullanıcı Lisansı yıllık abone olunan bir lisanstır. BIMcloud Kullanıcı lisansları yıllık sürelerinin sonunda Müşteri onları açıkça yenilemediği takdirde otomatikman sona erecektir. Bu yenileme Müşteri uygulamalarından BIMcloud'a erişmeye devam etmek için zorunludur.
* Tek bir kullanıcının BIMcloud'daki verileri eşzamanlı olarak birçok cihaz tipiyle (örneğin bilgisayar, tablet (mobil cihaz) ya da akıllı telefon (mobil cihaz)) erişmesi kullanıcı başına bir BIMcloud Kullanıcı Lisansı gerektirir, bu da şu şekilde maksimum üç cihazla kullanılabilir: iki mobil cihaz ve bir bilgisayar, ya da bir mobil cihaz ve iki bilgisayar.

* BIMcloud Kullanıcı Lisanslarının sadece gerçek kişilere devredilebileceğini açıkça kabul edersiniz. Hiçbir surette birkaç kişi aynı BIMcloud Kullanıcı Lisansını BIMcloud'daki verilere eşzamanlı olarak erişmek ve onları oluşturmak için paylaşamaz.
* Yerel olarak veya uzaktan BIMcloud Server'larını yönetmek için BIMcloud Manager'ı tek bir bilgisayara kurabilirsiniz.

5.1. GENEL HÜKÜMLER - YAZILIMIN BIMcloud MODU VE BIMcloud Basic MODU İÇİN GEÇERLİ:
* Yazılımın tarafınızdan - hangi nedenle olursa olsun - kaynak koda dönüştürülmesi, kısaltılması ve tersine mühendislik işlemlerinin yapılması kesinlikle yasaktır.
* Yazılımın koruma kilidini kırmak, kaynak kodunu veya altta yatan algoritmaları keşfetmek veya yukarıda sözü geçen teşebbüsleri yazılımın obje koduna yönelik gerçekleştirmemelisiniz.
* Yazılımı geliştirme, hata ayıklama ve benzer tasarım-zaman amaçlı kullanmamalısınız.
* Yazılımın bir bölümünün veya tümünün tarafınızdan değiştirilmesi, tercüme edilmesi veya herhangi bir türevinin hazırlanması kesinlikle yasaktır.
* Yazılımla gelen herhangi yazılı malzemeyi kopyalayamazsınız;
* Lisansınızı bölüp parçalarını satmanız yasaktır.
* Bu Yazılımın işlemlerini, bütün elemanlarını tamamlayıcı bileşenler olarak GRAPHISOFT tarafından belirlenmiş amaçlara ulaşmak için kullanmalısınız.
* TEDARİK OLMAMASI hükmü: Yürürlükte ayrı bir Hizmet Sağlayıcı Lisans Sözleşmeniz yoksa üçüncü taraflar için 'Software as a Service' ya da 'Platform as a Service' (örneğin BIMcloud Manager, BIMcloud Server ya da BIMcloud Delta Cache ürünleri için 'BIMcloud as a Service' ya da 'Archicad as a Service') ya da yazılım lisanslarımızın üçüncü taraflara yeniden devredilmesini, örneğin yeniden pazarlama, yeniden satma hizmetlerini ya da bulut hizmetlerini sağlamanız ya da tedarik etmeniz açıkça yasaklanmıştır.
* Yazılımın TKÖ'sünün üstesinden gelmeniz ya da üstesinden gelmek için bir sistem temin etmeniz ve Yazılımı başka herhangi bir yetkisiz biçimde kullanmanız yasaktır.
Bu bölümdeki herhangi bir hükmün ihlal edilmesi halinde, bunun bu Sözleşmenin esaslı ihlalini teşkil ettiğini ve GRAPHISOFT'a bu Sözleşmeyi derhal feshetme hakkı verdiğini ve GRAPHISOFT'un ihlali sona erdirmek ve sizi yukarıdaki hükümlere uymaya zorlamak için gerekli adımları atacağını açıkla kabul edersiniz. Ek olarak, GRAPHISOFT bu Sözleşmeyi ihlal etmenizden kaynaklanan zararlarının ve ayrıca yürürlükteki amir kanunlar kapsamındaki diğer hak ve hak taleplerini dayatma hakkına sahip olacaktır.
* Yazılımın kendi kopyasını tamamiyle çalışılmaz kılmadan, Yazlılımı satamaz, kiralayamaz, dağıtamaz veya kullanım hakkını bir başkasına atayamaz veya ağınıza bir başkasının yazılımı kullanım amaçlı erişimini tümüyle veya kısmi olarak sağlayamazsınız. Burada yazılımın sizin tarafınızdan herhangi bir transferi durumunda bu anlaşmanın tansfer tarihinden itibaren sonralndırılacağını ve bu anlaşmadan doğan tüm haklarınızı keybedeceğinizi kabul etmiş bukunuyorsunuz.
5.2. YAZILIMIN BIMcloud MODUYLA İLGİLİ ÖZEL HÜKÜMLER:
* Tekrar satılmış bir lisans durumunda, tekrar satılan lisansın alıcısı GRAPHISOFT'un atamış olduğu yerel distribütor aracılığıyla ürünü kendi adına kayıt ettirecek ve güncelleme, yükseltme ve destek gibi Yazılım Servis Anlaşması ile gelen serevislere ulaşmak için gereken ödemeyi yapacaktır.
Burada -bu Sözleşmede ya da başka bir yerde ortaya koyulan başka herhangi bir lisansa uygunluk kontrolüne ek olarak- GRAPHISOFT'un Yazılımı kullanımınızın bu Sözleşmenin hükümlerine ve kanunun geçerli kurallarına tamamen uygun olduğunu kontrol etmek amacıyla kayıtlarınızı, sistemlerinizi, tesislerinizi kontrol etmek için 7 (yedi) gün önceden yazılı bildirimde bulunarak Sizi ve Yetkili Kullanıcınızı Yazılımı kullandığınız şirket binasında ziyaret etme hakkına sahip olduğunu kabul edersiniz.GRAPHISOFT denetim haklarını kullanmak için bir üçüncü taraf da tayin edebilir. Burada GRAPHISOFT'a istediği bütün bilgi ve belgeleri sağlayarak diğerlerinin yanı sıra bu doğrulamayı başarıyla gerçekleştirmesi için GRAPHISOFT ile tamamen iş birliği yapacağınızı kabul edersiniz.
* GRAPHISOFT bu Sözleşmenin herhangi bir kısmının ihlal edilmesinin ardından bu Sözleşmeyi derhal yürürlüğe girmek üzere bildirimde bulunmadan feshedebilir. LİSANS PARAMETRELERİ ya da KISITLAMALARın hükümlerinden herhangi birinin yukarıda ortaya koyulmuş gerçek ya da teşebbüs edilen bir ihlali, Sözleşmenin bir esaslı ihlali olacak ve GRAPHISOFT'a bu Sözleşmeyi derhal yürürlüğe girecek şekilde feshetme hakkı verecektir.
* GRAPHISOFT'un feshetmesiyle beraber, GRAPHISOFT'u bu Sözleşmenin ihlal edilmesiyle bağlantılı olarak meydana gelen zararları ve harcamaları için tazmin etmeye zorunlu olacaksınız ve GRAPHISOFT da yürürlükteki amir kanunlar kapsamındaki diğer hakları ve hak taleplerini dayatma hakkına sahip olacaktır.
* Herhangi bir sebeple fesih olması halinde, GRAPHISOFT hiçbir durumda Yazılımın fiyatını ya da başka herhangi bir zararı geri ödemekle yükümlü olmayacaktır.
* Bu sözleşme feshedilene kadar yürürlükte kalır.
* Fesihle beraber Yazılımı ve bütün kopyalarını yok etmeli ve DONANIM ANAHTARInı GRAPHISOFT'un yerel ortağına ya da Yazılımı satın aldığınız yere geri göndermelisiniz, ya da eğer yukarıdakiler mevcut değilse ya da DONANIM ANAHTARInı kabul etmiyorlarsa, DONANIM ANAHTARInı doğrudan GRAPHISOFT'a iade etmelisiniz. Lisans programlama uygulamasıyla YAZILIM ANAHTARInı kaldırmalısınız.
8.1. GENEL HÜKÜMLER - YAZILIMIN BIMcloud MODU VE BIMcloud Basic MODU İÇİN GEÇERLİ
* GRAPHISOFT çalışanları, distribütörleri veya danışmanlarınca GRAPHISOFT adına garanti verilemez veya bu sözleşmedeki garanti uzatılamaz. Bu sözleşme ve sözleşmede belirtilen garanti ancak GRAPHISOFT'un bir yetkilisi tarafından imzalanmış yazılı bir düzeltme ile değiştirilebilir.
* Yazılımın yanlış kullanımından kaynaklanan iş aksaması, iş kaybı, gelir kaybı gibi hiçbir kayıp ve zarardan GRAPHISOFT çalışanları, distribütörleri ve bayileri bu olasılıktan haberdar olsa bile GRAPHISOFT sorumlu tutulamaz. Hiç bir şart altında GRAPHISOFT'un toplam borcu kanunda aksi belirtilse de Yazılıma ödediğiniz ücretten fazla olamaz.
* Yazılımın fiyatının (eğer ücretliyse) veya Yazılımın ücretsizlik şartının ve bu anlaşmanın koşullarının işbu sınırlı garanti kapsamında yukarıdaki şartları göze aldığınızda size fayda sağlamış olduğunu kabul ve teyit etmiş oluyorsunuz.
8.2. YAZILIMIN BIMcloud MODUYLA İLGİLİ ÖZEL HÜKÜMLER:
* GRAPHISOFT, -eğer Yazılıma bir DONANIM ANAHTARI aldıysanız- DONANIM ANAHTARI'nın Yazılımın satın alma alındısında belirtilen GRAPHISOFT/bir GRAPHISOFT ortağı tarafından ilk satış tarihinden itibaren 1 yıllık bir sürüyle kusursuz olacağını garanti eder.
* GRAPHISOFT -eğer Yazılım DVD olarak gönderiliyorsa- orjinal yollanma tarihinden sonraki 90 günlük periyod içerisinde Yazılımı içeren DVD'leri kusurlar karşısında ücretsiz olarak göndermeyi garantilemektedir.
* Bu sınırlı garanti eğer DVD'lerin ya da DONANIM ANAHTARInın herhangi bir şekilde arızalanması kazadan, ihmalden, yanlış kullanımdan, kötü kullanımdan, hırsızlıktan, kayıptan ya da yanlış uygulamadan kaynaklandıysa geçersiz olur.
* Limitli garanti süresi yazılımın GRAPHISOFT'tan veya GRAPHISOFT yerel distribütöründen satın alındığı tarihte başlar (öreneğin garanti süresi tekrar satış veya yükselte ile başlamaz).
* Eğer garanti süresi içinde DVD'ler ya da DONANIM ANAHTARI kusurlu çıkarsa, GRAPHISOFT'ın bütün yükümlülüğü ve Sizin özel çözümünüz, GRAPHISOFT'un tercihine göre:
- GRAPHISOFT'a satın alındığına dair kanıtla gönderilen bozuk DVD veya DONANIM AHAHTAR'ının ücretsiz tamiri veya yenisinin verilmesi, ya da
- yerine geçen lisans için ödenmiş ücreti geri ödemek olacaktır. Yerine verilen herhangi bir DVD ya da DONANIM ANAHTARI, Size gönderildiği tarihten itibaren 90 gün süreyle garantili olacaktır.
* GRAPHISOFT'un YAZILIM ANAHTARI ile ilişkili herhangi bir garantiyi hariç tuttuğunu -geçerli hukuk kurallarının izin verdiği azami mertebede- açıkça kabul edersiniz. Eğer YAZILIM ANAHTARInız herhangi bir sebeple tahrip olur ya da zarar görürse, mevcut koşullar altında YAZILIM ANAHTARInı yeniden satın almalısınız.
* ORTAM VE DONANIM ANAHTARI ÜZERİNDEKİ SINIRLI GARANTİLER DIŞINDA, YAZILIM "OLDUĞU GİBİ", HERHANGİ BİR ÖZEL AMACA UYUMLULUĞU YA DA UYGUNLUĞU, YA DA YAZILIMIN KESİNTİSİZ VE HATASIZ ÇALIŞACAĞI KONUSUNDA AÇIK YA DA İMA EDİLEN BİR GARANTİ OLMADAN SATILIR. GEÇERLİ HUKUK KURALLARININ İZİN VERDİĞİ AZAMİ MERTEBEDE, GRAPHISOFT PAZARLANABİLİRLİK, ÖZEL BİR AMAÇ İÇİN UYGUNLUK, KALİTE, EKSİKSİZLİK, YAZILIMIN İŞLEVLERİNİN İHLAL EDİLMEMESİ YA DA HASSASİYETİ GARANTİLERİ DÂHİL OLMAK ÜZERE AÇIK YA DA İMA EDİLEN BÜTÜN DİĞER GARANTİLERİ REDDEDER.
9. YÜKLENEN İÇERİK, ÜÇÜNCÜ PARTİ MALZEMELERİ VE HİZMETLERİNİN MÜLKİYETİ
* Yazılımı çalıştırarak herhangi bir elektronik medyadan veya İnternetten Yazılıma yüklenen bilgi ve diğer içeriğe ait tüm ünvan, mülkiyet ve tescilli hakları (tümü birden "İçerik") Tedarikçi, iş ortakları ve herhangi İnternet İçerik sağlayıcıları vb. ilgili İçerik sahibinin malıdır. Bu Sözleşme size bu İçerikle ilgili olarak mülkiyet veya diğer herhangi bir hak vermez ve GRAPHISOFT bu İçerikle ilgili herhangi bir sorumluluk kabul etmez.
* GRAPHISOFT ürünlerinden bazılarının ve Yazılıma dahil edilen ya da onun vasıtasıyla erişilen bazı üçüncü taraf malzemelerinin kullanımının https://www.graphisoft.com/licenses adresinde yer alan ve bu Sözleşmenin şartları ve koşullarını kabul ederek kabul ettiğiniz ayrı lisans sözleşmesinde/sözleşmelerinde bulunan başka şartlar ve koşullara tabi olduğunu kabul edersiniz.
* Yazılım yardımıyla erişilen ve kullanılan bazı GRAPHISOFT ve üçüncü parti malzeme, yazılım ve hizmetlerinin yukarıdaki belirtilen linkte gösterilmeyen ayrı sözleşme(ler)inde bulunan ve GRAPHISOFT tarafından hiçbir sorumluluk üstlenilmeyen şartlara tabi olabileceğini kabul etmiş oluyorsunuz. GRAPHISOFT üçüncü parti malzemeleri, yazılımları ve hizmetleri ile Yazılımın ortak çalışabilmesi, üçüncü parti malzemeleri, yazılımları ve hizmetlerinin kullanımı için hiçbir sorumluluk üstlenmez.
10. GENEL VE KAPATMA DURUMLARI
10.1. GENEL HÜKÜMLER - YAZILIMIN BIMcloud MODU VE BIMcloud Basic MODU İÇİN GEÇERLİ:
* Bu sözleşme size hiçbir teknik destek, yükseltim ve GRAPHISOFT'un zaman zaman sunacağı yazılımlar için hak sağlamaz. GRAPHISOFT, satış politikasının bir parçası olarak kayıtlı kullanıcılara teknik destek ve yükseltim olanağı sunabilir.
* GRAPHISOFT'un bu Sözleşmenin herhangi bir şartını tek taraflı olarak, Size bildirimde bulunarak ya da bulunmadan değiştirebileceğini kabul edersiniz. GRAPHISOFT'un bu değişikliklerden ortaya çıkan olumsuz bir etki nedeniyle size ya da herhangi bir kişiye sorumlu olmayacağını kabul edersiniz.
* Bu Sözleşme, siz ve GRAPHISOFT arasında Yazılım ile ilgili olarak tam ve bütün bir anlaşma oluşturmakta ve yazılı ve sözlü olarak önceden yapılmış tüm sözleşme ve anlayışların yerini alır. GRAPHISOFT tarafından aksi size yazılı olarak iletilmedikçe, bu sözleşmenin şartları, yazılımın yüklenmesi ve diğer işlevlerinin kullanılması ve yüklenen yazılımın onarımı ile ilgili olarak uygulanır.
* Bu sözleşmenin herhangi bir bölümünün yetkili yargı tarafından kanunlarla çeliştiği ortaya çıkarsa, o bölüm izin verilen maksimum düzeye kadar uygulanacaktır. Sözleşmenin kalan koşulları ise etkisini aynen koruyacaktır.
* Bu Anlaşma uygulanırken ve incelenirken İngilizce versiyonu esas kabul edilecektir. Herhangi bir tercüme sadece bilgilendirme amaçlıdır ve GRAPHISOFT tercümedeki yanlışlık veya eksikliklerden kaynaklanan direk, indirek, tesadüfi, özel veya sonucu olan hasarlardan sorumlu değildir.
Bu sözleşme, Macaristan Cumhuriyeti kanunlarına uygun olarak yürütülür. Bu Sözleşmeden doğabilecek, Sözleşmenin geçerliliği, kesintiye uğratılması veya sona erdirilmesi ile ilgili tüm anlaşmazlıklar Macaristan Ticaret ve Sanayi Odası'nda kurulan Daimi Tahkim Kurulu tarafından kendi prosedürleri ile uyumlu şekilde çözülecektir. Yargı yeri ise Budapeşte olacaktır.
10.2. YAZILIMIN BIMcloud MODUYLA İLGİLİ ÖZEL HÜKÜMLER
* Aksi belirtilmediği müddetçe, bu Sözleşmenin şart ve koşulları Yazılımın ilave işlevleri ve Size Yazılımla ilişkili olarak sağlanan hizmetler ve içerikler (örneğin özellikle "SSA" gibi) için de geçerli olacaktır.
* YAZILIM ANAHTARI’nı kullanmak ve yönetmek için https://graphisoftid.graphisoft.com adresinden elde edeceğiniz geçerli bir GRAPHISOFT ID’sine gereksiniminiz olduğunu onaylarsınız.

GRAPHISOFT SOFTWARE LICENSE AGREEMENT
GRAPHISOFT SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("GRAPHISOFT") licenses this Software to You, an individual or as the representative of and on behalf of Your employer (collectively referred to as "You") only upon the condition that You accept all of the terms contained in this Software License Agreement ("Agreement").
GRAPHISOFT licenses this Software to You including Your employees, agents and other contract partners (collectively referred to as “Authorized User(s)”). By accepting the terms of this Software License Agreement, You expressly declare and confirm that You have the full power and capacity to represent Yourself, Your Authorized User(s), Your employer and/or the entity on behalf of which You are acting (if any). Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.
This Agreement constitutes a non-exclusive, non-transferable, non-sublicenseable, limited license for You to use the enclosed Software and associated documentation, together with the upgrades, updates, new versions and fixes provided to You by GRAPHISOFT (together referred to as the "Software"). The Software is licensed, not sold, to You exclusively for Your own use under the terms and conditions of this Agreement.
The term "Software" includes the following software products and their components:
The Software is owned by GRAPHISOFT and protected by all applicable copyright laws. To the maximum extent permitted by applicable laws, GRAPHISOFT reserves all rights to the Software not expressly granted hereunder and to any reproduction of the Software including its documentation, logos, trademarks, icons and interface in whole or in part. If You copy or use all or any portion of the Software without entering into this Agreement or obtaining the prior written permission of GRAPHISOFT or in non-compliance with any of the terms of this Agreement, You or Your Authorized User(s) are violating copyright or other intellectual property law, and You may be liable to GRAPHISOFT and its licensors in particular for damages, and You may be subject to criminal penalties.
YOU MAY USE YOUR COPY OF THE SOFTWARE EITHER IN BIMcloud MODE, OR IN BIMcloud Basic MODE.
YOU ARE ENTITLED TO USE THE BIMcloud MODE ONLY IF YOU HAVE PURCHASED AND CONNECTED THE HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR INSTALLED THE SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY) TO YOUR COMPUTER.
IF YOU LACK ALL THE PROPER AUTHORIZATIONS (FOR EXAMPLE HARDWARE KEY, SOFTWARE KEY) FOR THE USAGE OF THE SOFTWARE, YOU MAY USE THE SOFTWARE ONLY IN BIMcloud Basic MODE.
2. INTERNET-BASED AND NON-INTERNET BASED SERVICE COMPONENTS
2.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* The Software may contain components that enable and facilitate the use of certain Internet-based and non-Internet based services. You acknowledge and agree that GRAPHISOFT may automatically check the operation mode, version of the Software and/or its components, its HARDWARE KEY serial number (if any), the SOFTWARE KEY serial number (if any) and the related services that You are utilizing in order to check that You are utilizing the Software according to its purpose, and may provide upgrades, fixes or additional services to the Software in order to advance lawful and improved operation thereof at GRAPHISOFT's sole discretion. GRAPHISOFT shall not be liable for any loss of data or malfunctioning of the Software occurring in connection with GRAPHISOFT's conduct under this paragraph.
* The Software may contain technological measures that are designed to prevent and detect unlicensed use of the Software. Utilizing the Software, You will also install these technical protection measures (hereinafter the "TPM") used by GRAPHISOFT or its foreigner suppliers to collect, transmit and use for law enforcement purposes technical data from Your computer (hereinafter the "Technical Data") in order to prevent and detect unlicensed use of the Software and enforce GRAPHISOFT's intellectual property rights.
* You hereby expressly accept that GRAPHISOFT or its assignee will use TPM to confirm that You have a legally licensed copy of the Software and that You and Your Authorized User(s) use the Software according to the terms and conditions of this Agreement.
If GRAPHISOFT finds that You or Your Authorised User(s) are not using a licensed copy of the Software, or that Your and Your Authorised Users use of the Software infringes the terms and conditions of this Agreement, this qualifies as material breach of this Agreement that gives GRAPHISOFT the right to terminate this Agreement with immediate effect without notice and You shall be obliged to compensate GRAPHISOFT for its damages and expenses occurring in connection with the unlawful usage and the breach of this Agreement, and GRAPHISOFT shall be entitled to enforce other rights and claims under the governing laws in force, furthermore You will not be allowed to install future updates of the Software.
You acknowledge that You are solely responsible for the compliance of Your Authorized Users with this Agreement and all the other applicable rules required by GRAPHISOFT in connection with the use of the Software.
If GRAPHISOFT finds that any of Your Authorized Users is using the Software in a non-compliant manner You shall compensate GRAPHISOFT for any all damages arising from such unlawful use.
In case of infringement of any provisions of this Agreement made by Your Authorized User, You expressly acknowledge that GRAPHISOFT will take the necessary measures in order that the infringement be terminated and to enforce Your Authorized User to comply with the provisions of this Agreement.
If Your Authorized User copies or uses the Software without entering into this Agreement or obtaining the prior written permission of You or in any other non-compliance with the terms of this Agreement, You are violating copyright, intellectual property law and criminal law in which case both You and the Authorized User shall be liable to GRAPHISOFT in particular for damages, and You and the Authorized User may also be subject to criminal penalties.
2.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* You acknowledge that GRAPHISOFT shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.
3. INFORMATION AND CONSENT TO USE OF PERSONAL DATA
* Pursuant to the applicable law in force concerning the protection of personal data, by entering into this Agreement You accept that Your personal data (including those Technical Data collected and used by the TPM system) will be collected and processed by GRAPHISOFT for the purposes related to the execution of this Agreement, including the fulfillment of Your obligations, such as those related to GRAPHISOFT's intellectual property rights.
* In line with the above in particular the following data processing take place under the respective terms and conditions:
- BIMcloud processes the following data: GRAPHISOFT ID of person activating BIMcloud, operational system data (such as OS name, build, architecture, platform), BIMcloud Server ID generated at installation, time of activation, BIMcloud version, time of data collection, number of BIMcloud users, number of BIMcloud Projects, number of BIMcloud Libraries, number of LDAP connections, time of last server activity, number of licenses, hardware key's serial number, permission mode.
- Purpose of data processing: improvement of the software and providing information on relevant functionalities and services.
- Legal base of data processing: the legitimate interest of GRAPHISOFT under point f. of Article 6(1) GDPR.
- Duration of the data processing: GRAPHISOFT deletes all data within 3 years following the end of the BIMcloud subscription.
* You expressly acknowledge that Your personal data processed under this Agreement will be processed, either manually or with the help of electronic or automated means, in such a way as to minimize, by means of suitable security measures, the risk of unauthorized access or disclosure of Your data. Your personal data will be processed during the term of this Agreement in relation to its purposes, also in order to prevent unlicensed use of the Software. For the above purposes Your personal data can be disclosed to third parties (service providers, consultants, collaborators, a list of which is available from within the Privacy Policy), either to other EEA or third countries, pursuant to the scope of this Agreement and any applicable law. In the event of any data transfers to third countries, GRAPHISOFT always uses suitable safeguards (such as the standard contractual clauses adopted by the European Commission, the EU-US Privacy Shield and similar instruments) to ensure the adequate protection of personal data. GRAPHISOFT reserves the right to disclose Your personal data to the competent legal authority if required to do so to enforce or defend its rights or legitimate interests before civil and criminal courts, regulatory bodies, or to execute an order of the competent judicial or regulatory authority. As End User of the Product, You have the right to access the personal data processed by GRAPHISOFT, to obtain the updating or rectification of such data. You also have the right to obtain the erasure of any personal data if, for instance, such data have either been processed unlawfully or are no longer necessary for the purposes for which they were collected or otherwise processed. In certain cases, such as when the processing is unlawful and you oppose the erasure of your data, you have the right to obtain from GRAPHISOFT the restriction of processing. You also have the right to receive the personal data concerning you, which you provided to GRAPHISOFT, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller. If you consider that the processing of your personal data by GRAPHISOFT infringed the GDPR, please contact us first at privacy@graphisoft.com ; GRAPHISOFT SE Business Compliance Manager; Záhony utca 7. Budapest, H-1031 Hungary so we can remedy the issue. Of course, in such cases you also have the right to lodge a complaint with the Hungarian Data Protection and Freedom of Information Authority ( http://naih.hu/general-information.html ) or another data protection supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement.
* If applicable, You ensure and warrant to us that Your employee and Your Authorized User has been duly informed of the collection, processing, transfer and usage of his/her personal information by GRAPHISOFT as per the above, and shall indemnify and hold GRAPHISOFT harmless from and against any related third party claims.
* The detailed rules regarding the various rights and obligations related to GRAPHISOFT's data collection, use, transfer, handling, processing, including your subject access rights and rights to legal redress, are set forth in the Privacy Policy constituting an inseparable part of this Agreement available at https://graphisoft.com/legal/privacy-policy .
The license granted by this Agreement is subject to the License Parameters defined hereinafter:
BIMcloud offers both free and paid features: The collection of free features is called BIMcloud Basic, the paid version is called BIMcloud.
* BIMcloud Basic requires a one -time activation of the installed BIMcloud Manager using a valid GRAPHISOFT ID of the customer.
* The Software enables You to install the following software product together:
* Special Conditions: BIMcloud Basic's usage is limited to local area networks (LAN / VPN). Using BIMcloud Basic over wide area networks (WAN / Internet) is strictly forbidden. BIMcloud Basic can be installed on on-premise hardware only. BIMcloud Basic is not allowed to be installed on / operated from cloud based virtual computers.
* These components must be installed on the same computer.
* BIMcloud Basic can work with a single Archicad version only, which must be selected during the configuration process and cannot be changed later.
* If you wish to work with more than one Archicad version, then multiple BIMcloud Basics can be installed on the same (or different) computer(s)
* The software will allow you to use only the free features provided with the BIMcloud Basic.
* GRAPHISOFT reserves the right to modify BIMcloud Basic's free feature set including adding new features or removing features which were previously free.
* You may connect an unlimited number of Clients at any time to a BIMcloud Basic
* BIMcloud Basic can be upgraded to a paid BIMcloud to enable all free and paid features, see BIMcloud license
* The Software consists of several computer programs downloadable from a website, HARDWARE KEY(s) or authorization key necessary for the SOFTWARE KEY installation and accompanying documentation and packaging.
* The Software enables You to install the following software products:
* In order to be able to connect with a Client (e.g. Archicad, BIMx or the browser based BIMcloud Manager user interface) to BIMcloud and access the data stored on BIMcloud Servers, You must have a valid BIMcloud User License. You must purchase the licenses in a number equal to the concurrent Client-BIMcloud connections You want.
As stated, the Software is owned by GRAPHISOFT and all rights to access the data stored, shared or managed by the Software represent the undivided intellectual property of GRAPHISOFT. Therefore, client access is licensed and protected by all applicable copyright laws as BIMcloud User License, and it is an integral part of this agreement. To the maximum extent permitted by applicable laws, GRAPHISOFT reserves all rights to license the data access rights under the name of BIMcloud User License not expressly granted hereunder and to any reproduction, manipulation of the Software or data access including its documentation, logos, trademarks, icons and interface in whole or in part.
* The BIMcloud User License is an annual subscription license. BIMcloud User Licenses will automatically expire at the end of their annual terms unless the Client expressly renew them. This renewal is essential in order to continue to access BIMcloud from Client applications.
* Accessing data on BIMcloud by multiple types of devices simultaneously (e.g.: computer, tablet (mobile device) or smart phone (mobile device)) by a single user requires only one BIMcloud User License per user, which may be used with a maximum of three devices as follows: two mobile devices and one computer, or one mobile device and two computers.
* BIMcloud provides a built-in emergency BIMcloud User License, when the subscription licenses expire or the authorization key is not accessible. This license can be used for backup purposes only and shall not be used for production.
* You expressly agree that BIMcloud User Licenses may only be assigned to real individuals. Under no circumstances may several individuals share the same BIMcloud User License to simultaneously access and author data on the BIMcloud.
* You may install the BIMcloud Manager on a single computer to administer the BIMcloud Server(s) locally or remotely.
* You may connect an unlimited number of BIMcloud Servers to the BIMcloud Manager.
* You may connect a limited number of Clients (equivalent to the number of valid BIMcloud User licenses you have) at any time to a BIMcloud).
* You may make backup copies of BIMcloud Manager in machine-readable form.
* You may install the BIMcloud Server in unlimited instances.
* You may make backup copies of each BIMcloud Server(s) in machine-readable form.
* You may install the BIMcloud Delta Cache in unlimited instances.
* You may make backup copies of the BIMcloud Delta Cache in machine-readable form.
5.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever.
* You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software.
* You may not use the Software for development, compilation, debugging and similar design-time purposes.
* You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software.
* You may not copy any written materials accompanying the Software.
* You are expressly prohibited from dividing Your license and reselling part(s) of it.
* You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by GRAPHISOFT.
* NON-PROVISIONING clause: Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing and provisioning services such as 'Software as a Service' or 'Platform as a Service' (e.g.: 'BIMcloud as a Service' in case of BIMcloud Manager, BIMcloud Server or BIMcloud Delta Cache products and 'Archicad as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services.
* You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner.
In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to GRAPHISOFT to immediately terminate this Agreement, and GRAPHISOFT will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions. In addition, GRAPHISOFT shall be entitled to enforce payment for its damages as well as other rights and claims under the governing laws in force resulting from your breach of this Agreement.
* Unless You make your own copy of the Software totally unusable, You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part. You hereby accept that in case of any type of transfer of the Software by You, this Agreement automatically ceases to exist on the effective date of the transfer and You shall lose all rights arising from this Agreement.
5.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* In case of a resold license, You, i.e. the purchaser of the resold Software, shall be required to re-register the Software with GRAPHISOFT's appointed local partners, pay the applicable fees and enter into the applicable Software Support Agreement in order to be entitled to any updates, upgrades, support, etc.
You hereby agree that - in addition to any other license compliance checking set forth in this Agreement or elsewhere - GRAPHISOFT has the right to visit You and Your Authorized User at the premises where You use the Software upon 7 (seven) days prior written notice in order to check Your records, systems, facilities to verify that Your use of the Software is fully in line with the provisions of this Agreement and with the applicable rules of law. GRAPHISOFT may also appoint a third party to exercise its audit rights. You hereby agree to fully cooperate with GRAPHISOFT in order to successfully perform this verification among others by providing GRAPHISOFT with all requested information and documents.
* GRAPHISOFT may terminate this Agreement with immediate effect without notice following breach of any part of the Agreement. The actual or attempted violation of any of the provisions of the LICENSE PARAMETERS or RESTRICTIONS, as set out above, shall be a material breach of this Agreement giving the right to GRAPHISOFT to terminate this Agreement with immediate effect.
* Upon termination by GRAPHISOFT You are obliged to compensate GRAPHISOFT for its damages and expenses occurring in connection with the breach of this Agreement and GRAPHISOFT shall be entitled to enforce other rights and claims under the governing laws in force.
* In case of termination for any reason, under no circumstances will GRAPHISOFT be liable for reimbursing the price of the Software (if any) or for any other damages.
* This Agreement remains in effect until it is terminated.
* Upon termination, You must destroy the Software and all copies of it and send back the HARDWARE KEY to the local partner of GRAPHISOFT or to the place where You purchased the Software or, if the foregoing is not available or will not accept the HARDWARE KEY, You must return the HARDWARE KEY directly to GRAPHISOFT. You must uninstall the SOFTWARE KEY with the license programming application.
8.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE
* No advice or information given by GRAPHISOFT employees, its distributors, resellers, agents, or consultants shall constitute a warranty by GRAPHISOFT or extend the warranty in this Agreement. This Agreement and the warranty provided herein may only be modified by a written amendment signed by a duly authorized executive officer of GRAPHISOFT.
* In no event shall GRAPHISOFT be liable for any loss or damages whatsoever, including but not limited to loss of data, damages for lost income, business interruption, loss of business information, or other special, incidental, consequential, exemplary, multiple, or indirect damages or other pecuniary loss, arising from the use or misuse of the Software, or otherwise under this Agreement, even if GRAPHISOFT or its employees, resellers, or agents have been advised or should have known of the possibility of such damages. In no event will GRAPHISOFT's aggregate liability for any breach of this Agreement, use of the Software or otherwise, exceed the amounts actually paid by You to GRAPHISOFT for this copy of the Software, except as otherwise required by applicable statutory law.
* You accept and confirm that the price of the Software (if any) or the free of charge provision of the Software and the conditions of this Agreement advantageous to You hereof have been determined in consideration of the above provisions on limited warranty.
8.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* GRAPHISOFT warrants that - if You receive a HARDWARE KEY to the Software - the HARDWARE KEY will be free of defects for a period of 1 year from the original date of the Software's first sale by GRAPHISOFT/a GRAPHISOFT partner as indicated on the purchase receipt.
* GRAPHISOFT warrants that - if the Software is delivered on DVD(s) - the DVDs on which the Software are delivered will be free from defects for a period of 90 days from the original date of purchase as indicated by Your purchase receipt.
* This limited warranty is void if the failure of the DVDs or HARDWARE KEY in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.
* The limited warranty period commences on the date that the Software was first purchased from GRAPHISOFT or a GRAPHISOFT partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).
* If, within the warranty period, Your DVDs or HARDWARE KEY prove defective, GRAPHISOFT's entire liability and Your exclusive remedy shall be, at GRAPHISOFT's option, to:
- replace the defective DVDs or HARDWARE KEY free of charge provided that they are returned to GRAPHISOFT along with a proof of purchase, or
- refund the price paid for the replacement license. Any replacement DVD or HARDWARE KEY will be warranted for 90 days from the date that the replacement was shipped to You.
* You expressly accept that - to the maximum extent permitted by the applicable rules of law - GRAPHISOFT excludes any warranty related to the SOFTWARE KEY. If Your SOFTWARE KEY is destroyed or damaged for any reason, You must re-purchase the SOFTWARE KEY under the current conditions.
* EXCEPT FOR THE LIMITED WARRANTIES ON THE MEDIA AND THE HARDWARE KEY, THE SOFTWARE IS SOLD "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.
9. OWNERSHIP OF LOADED CONTENT, THIRD PARTY MATERIALS, SERVICES
* All title, ownership rights, and proprietary rights in and to the information and other content (e.g. commercial and 3rd party add-ons) loaded into the Software from any electronic media or Internet by operation of the Software (collectively, "Content") is the property of the applicable Content owner, including, without limitation, Supplier, its affiliates, and any Internet Content providers ("Content Providers"). This Agreement does not give You ownership or any other rights with respect to any such Content and GRAPHISOFT does not undertake any liability for any such Content.
* You accept that the use of some GRAPHISOFT products and some third party materials and services included in or accessed through the Software are subject to other terms and conditions found in separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement.
* You accept that the use of some GRAPHISOFT and some third party materials, software and services accessed, used with the help of the Software, may be subject to other terms and conditions found in separate agreement(s) not appearing at the link indicated above, for which GRAPHISOFT does not assume any liability. GRAPHISOFT also does not assume any liability for the co-operation of the Software with third party materials, software and services or for the operation and use of third party materials, software and services.
10. GENERAL AND CLOSING CONDITIONS
10.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* This Agreement DOES NOT give You the right to any technical support for, or upgrades to, the Software which GRAPHISOFT may offer from time to time. GRAPHISOFT may, at its option and as part of its sales and marketing policy, make such technical support and upgrades available to registered users of the Software under terms to be determined from time to time by GRAPHISOFT or its distributors.
* You accept that GRAPHISOFT may unilaterally modify any term of this Agreement with or without notice to You. You agree that GRAPHISOFT shall not be liable to you or anyone else for any negative effect deriving from such modifications.
* This Agreement constitutes the full, complete agreement between You and GRAPHISOFT concerning the Software and supersedes all prior agreements and understandings, either written or oral. Unless otherwise communicated to You by GRAPHISOFT in writing, the conditions of this Agreement shall apply to the installation and use of additional functions of the Software and to the repair of the Software's installation.
* If any part or provision of this Agreement is found to be contrary to law by a competent jurisdiction, that part or provision shall be enforced to the maximum extent allowed, and the remaining Agreement shall remain in full force and effect.
* The English version of this Agreement will be the governing version used when interpreting or construing this Agreement. Any translations thereof shall exclusively be provided for information purposes without any binding force and in no event shall GRAPHISOFT be liable for any direct, indirect, incidental, special or consequential damages or damages whatsoever resulting from any incorrect, incomplete translations.
* This Agreement is governed by the laws of Hungary. Any disputes arising from this Agreement, including those disputes relating to the validity, interpretation or termination of the Agreement, shall be exclusively and finally settled by the Permanent Arbitrate Tribunal formed beside the Hungarian Chamber of Commerce and Industry, Budapest, in accordance with its own rules of procedure. The place of jurisdiction shall be in Budapest.
10.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE
* Unless otherwise provided, the terms and conditions of this Agreement shall be applicable to the additional functionalities of the Software and to the services and content provided to You in relation to the Software (such as in particular the "SSA").
* In order to use and manage the SOFTWARE KEY (if any), You acknowledge that You need to have a valid GRAPHISOFT ID, to be obtained from GRAPHISOFT at https://graphisoftid.graphisoft.com .
